Failure to File the Initial Registration Statement. In the event that the Initial Registration Statement is not filed by the Company with the SEC by the Filing Deadline, then the Applicable Discount (as defined in the Certificate of Designations) shall be reduced by an additional 2% for the first thirty (30) days.
