FCC Authorization. The Radio Station Authorization for a Fixed Earth Station, Call Sign: E050285, File Number: SES-LIC-20051011-01398 (the “FCC Authorization”) granted by the Federal Communications Commission (the “FCC”) held by OUTD or its Subsidiaries is in full force and effect and has not been revoked, suspended, canceled, rescinded or terminated and has not expired, and is not subject to any material conditions except for conditions applicable to similar licenses generally or as otherwise disclosed on the face of such FCC Authorization and has been issued for the full term permitted by law. OUTD and its Subsidiaries are operating, and have operated their licensed facility(ies) which are covered by the FCC Authorization in compliance in all material respects with the terms of the FCC Authorization, the Communications Act of 1934, and FCC rules and policies, and OUTD and its Subsidiaries have, in all material respects, timely filed all material applications, reports and other FCC disclosures required by FCC rules and policies to be filed with respect to the FCC Authorization and have, in all material respects, timely paid all FCC regulatory fees with respect thereto. Except for administrative rulemakings before the FCC, pending legislative proposals in the United States Congress, or other governmental proceedings affecting the communications industry generally, there is not pending or, to the knowledge of OUTD, threatened by or before the FCC or any court of competent jurisdiction any proceeding, notice of violation, order of forfeiture or complaint or investigation against or relating to OUTD or any of its Subsidiaries with respect to the FCC Authorization or the licensed facility(ies) covered thereby.
FCC Authorization. Seller and Buyer shall, as soon as practicable (but in no event later than 15 business days) after the execution of this Agreement, cause to be filed with the FCC under the Communications Act all necessary applications, waiver requests and related documentary material required in connection with the acquisition of the Shares by Buyer pursuant to this Agreement. Buyer and Seller will utilize their respective best efforts to obtain the requisite approvals of the FCC at the earliest possible time. The parties hereto will coordinate with one another in exchanging such information and providing such assistance as may be requested in connection with such filings.
FCC Authorization. Upon grant of a consent by the FCC ----------------- sufficient to authorize transfer of the Shares to Purchaser and to permit Purchaser to operate the businesses of XXXXX and the Other Subsidiaries (the "FCC Authorization"), and satisfaction or waiver of the representations, warranties and covenants herein, the parties shall hold the Closing on the Closing Date; provided, however, that in the event either Seller or Purchaser obtains an opinion of legal counsel, in substance and in form, and from counsel, reasonably satisfactory to the other party, that there exists a material likelihood that the FCC will issue an adverse Final Order with respect to the FCC Authorization (an "Adverse Legal Opinion"), the Closing shall not take place until receipt of a Final Order of the FCC.
FCC Authorization. The FCC shall have given its written consent to the assignment of the FCC Authorizations, and such consent shall have become effective. Seller and Buyer agree that it is not a condition to the Closing that such consent become a final order.
FCC Authorization. The FCC Consent shall have been obtained without any condition adverse to Seller, the business or operations of the Station or the FCC Licenses.
