FEES AND OTHER PAYMENTS. A. The Partnership shall cause the following payments and fees to be paid to the General Partner and its Affiliates: (i) to the Selling Agent, the Selling Commissions and the Due Diligence Expense Reimburse- ment Fee. (ii) to the General Partner or its Affiliates, the Offering and Organizational Expense Fee. (iii) to the General Partner or its Affiliates, the Acquisition Expenses previously paid by the General Partner or its Affiliates.
