Filing Agent, etc. All Uniform Commercial Code financing statements or other similar financing statements and Uniform Commercial Code (Form UCC-3) termination statements (collectively, the “Filing Statements”) required pursuant to the Loan Documents shall have been delivered by counsel to the Lead Arrangers to CT Corporation System or another similar filing service company acceptable to the Lead Arrangers (the “Filing Agent”). The Filing Agent shall have acknowledged in a writing satisfactory to the Lead Arrangers and their counsel (i) the Filing Agent’s receipt of all Filing Statements, (ii) that the Filing Statements required pursuant to the Loan Documents have either been submitted for filing in the appropriate filing offices or will be submitted for filing in the appropriate offices within ten days following the Restatement Effective Date and (iii) that the Filing Agent will notify the Agents and their counsel of the results of such submissions and will provide recorded copies of the same within 30 days following the Restatement Effective Date.
Filing Agent, etc. All UCC financing statements (Form UCC-1) or other similar financing statements and UCC amendment statements (Form UCC-3) (collectively, the "Filing Statements") required to be delivered on the Effective Date pursuant to the Credit Documents shall have been delivered to CT Corporation System or another similar filing service company acceptable to the Administrative Agent (the "Filing Agent"). The Filing Agent shall have acknowledged in a writing satisfactory to the Administrative Agent (i) the Filing Agent's receipt of all Filing Statements, (ii) that the Filing Statements have either been submitted for filing in the appropriate filing offices or will be submitted for filing in the appropriate offices within ten days following the Effective Date and (iii) that the Filing Agent will notify the Administrative Agent of the results of such submissions within 30 days following the Effective Date.

Filing Agent, etc. All UCC and PPSA financing statements or other similar financing statements and UCC termination statements (Form UCC-3) and PPSA discharge statements required pursuant to the Loan Documents (collectively, the “Filing Statements”) and described in clauses (a), (b) and (c) of Section 5.1.11 shall have been delivered (including by way of electronic mail) to Corporation Service Company or another similar filing service company in the U.S. or Canada acceptable to the Administrative Agent (the “Filing Agent”). The Filing Agent (if any) shall have acknowledged in a writing satisfactory to the Administrative Agent and its counsel (i) the Filing Agent’s receipt (including by way of electronic mail) of all Filing Statements, (ii) that the Filing Statements have either been submitted for filing in the appropriate filing offices or will be submitted for filing in the appropriate offices within ten days following the Closing Date and (iii) that the Filing Agent will notify the Administrative Agent and its counsel of the results of such submissions within 30 days following the Closing Date.

The Filing Agent shall have acknowledged in a writing satisfactory to the Lead Arranger and its counsel (i) the Filing Agent’s receipt (including by way of electronic mail) of all such Filing Statements, (ii) that such Filing Statements have either been submitted for filing in the appropriate filing offices or will be submitted for filing in the appropriate offices within ten days following the Acquisition Date and (iii) that the Filing Agent will notify the Lead Arranger and its counsel of the results of such submissions within 30 days following the Acquisition Date.

Filing Agent, etc. All Uniform Commercial Code financing statements and other similar financing statements in other jurisdictions and Uniform Commercial Code (Form UCC-3) termination statements and other similar termination statements in other jurisdictions and filings with the Surface Transportation Board and similar authorities in other jurisdictions required pursuant to the Loan Documents (collectively, the "Filing Statements") shall have been delivered to CT Corporation System or another similar filing service company acceptable to the
Filing Agent, etc. All Uniform Commercial Code financing statements and other similar financing statements in other jurisdictions and Uniform Commercial Code (Form UCC-3) termination statements and other similar termination statements in other jurisdictions and similar authorities in other jurisdictions required pursuant to the Loan Documents (collectively, the "FILING STATEMENTS") shall have been delivered to CT Corporation System or another similar filing service company acceptable to the Agents (the "FILING AGENT") and other arrangements acceptable to the Agents for filing in other jurisdictions shall have been made. All Mortgages, releases and other termination statements (collectively, the "Mortgage Documents") shall have been delivered to First American Title Insurance Company (the "TITLE COMPANY") and other arrangements acceptable to the Agents for recording such instruments (including the payment to the Title Company of all recording taxes and filing fees and charges) shall have been made. Each of the Filing Agent and the Title Company shall have acknowledged in a writing satisfactory to the Agents and their counsel (i) the Filing Agent's receipt of all Filing Statements and the Title Company's receipt of all Mortgage Documents, respectively, (ii) that the Filing Statements or Mortgage Documents (as applicable) have either been submitted for filing in the appropriate filing offices or will be submitted for filing and/or recording in the appropriate offices within ten days following the Closing Date and (iii) that each of the Filing Agent and the Title Company will notify the Agents and their counsel of the results of such submissions within 45 days following the Closing Date. All filings with the STB required pursuant to the Loan Documents shall have been executed and delivered to Ball Janik. Ball Janik shall have submitted all such filings to the STB ox xxx Closinx Xxxe or within five days following the Closing Date. If such filing is made after the Closing Date, Ball Janik shall notify the Agents and their counsel when the filing has xxxx made.
