Filing of Returns and Other Writings; Tax Matters Partner. The General Partner shall cause the preparation and timely filing of all Partnership tax returns and shall, on behalf of the Partnership, timely file all other writings required by any governmental authority having jurisdiction to require such filing. The General Partner shall serve as the “tax matters partnerfor purposes of Section 6231 of the Code, and shall make such tax elections and other determinations as it deems appropriate.
