Financial Audit. The School shall submit audited financial statements from an independent auditor to the Authorizer no later than November 1 of each year.
Financial Audit. Vision 21 shall have approved in Vision 21's sole discretion an audit of the Company and the Practice which audit shall have been performed by an accounting firm designated by Vision 21 at the sole expense of Vision 21.
Financial Audit. The School shall submit audited financial statements from an independent auditor in accordance with the rules of the Idaho State Department of Education.
Financial Audit. The CNA shall provide a copy of its annual financial audit to the Commission no later than 45 days after audit is completed. The audit shall be performed by an independent Certified Public Accounting firm.
Financial Audit. As outlined in Minnesota Statutes, § 256B.69, subd. 9d, as revised by Laws of Minnesota, Ch. 71, Art. 11, Secs. 36 and 37, the Office of the Legislative Auditor (OLA) will conduct or contract with third-party vendors to conduct independent third-party financial audits of the MCO’s information identified in Minnesota Statutes, §256B.69, subd. 9c, (b). The auditor will be required to determine compliance with the Medicaid managed care rate certification process, and whether the administrative expenses and investment income reported by the MCO are compliant with state and federal law. The audits shall be conducted in accordance with generally accepted government auditing standards issued by the United States Government Accountability Office. The MCO shall submit data to and fully cooperate with the auditor, and provide the STATE and the auditor access to all data required to complete the audits.
Financial Audit. As outlined in Minnesota Statutes, §§256B.69, subd. 9e and 3.972, subd. 2, the Office of the Legislative Auditor (OLA)shall audit the MCO to determine if the MCO used the public money in compliance with federal and state laws, rules, and in accordance with provisions of this Contract. The MCO shall submit data to and fully cooperate with the auditor, and provide the STATE and the OLA with all data, documents, and other information, regardless of classification, that the OLA requests to conduct the audit.
Financial Audit. The Books and Records shall, upon five (5) business days’ prior written notice to the Sports Leagues, be open for inspection by City, its auditors or other authorized representatives.
8.1 The Sports Leagues shall be audited by a third party financial firm selected and paid for by the City of Coachella bi-annually. Prior to the audit the Sports League will provide written notification of all documents requested to complete the financial audit; the Sports League will be provided 30 days to produce requested documents. Should the documents requested not be produced within the 30 days provided facility access will be revoked until corrected. The final audit documents will be posted on the City website.
8.2 All members of Sport League boards must attend the annual 501c3 training provided by the City.
8.3 All Sport Leagues must obtain a Financial Audit score of C or higher and each Sport League’s Financial Audit score much improve each year.
Financial Audit. BII shall keep (and shall cause its Affiliates and Sub-Licensees to keep) complete and accurate records pertaining to the sale or other disposition of BII Products in sufficient detail to permit BII to confirm the accuracy of all Earn-Out Payment payments reported, for at least [***] full Calendar Years following the end of the Calendar Year to which they pertain. MabVax Therapeutics Holdings Inc. shall have the right to cause an independent, certified public accountant reasonably acceptable to BII (the “Auditor”) to audit such records solely to confirm Net Sales, Milestone Payments and Earn-Out Payments for a period covering not more than the preceding [***] full Calendar Years, provided that such audits may not be performed more than [***] a year and only [***] per audited period. Such audits may be exercised during normal business hours upon reasonable prior written notice to BII. The Auditor will execute a reasonable written confidentiality agreement with BII and will disclose to MabVax Therapeutics Holdings Inc. only such information as is reasonably necessary to provide MabVax Therapeutics Holdings Inc. with information regarding any actual or potential discrepancies between amounts reported and actually paid and amounts payable under this Agreement. The report of the Auditor will include the methodology and calculations used to determine the results, will be delivered to BII and MabVax Therapeutics Holdings Inc. at the same time, and will be final [***] Business Days after delivery to both Parties, it being understood that BII will have the right during such [***] Business Day period to discuss the report with the Auditor. In the event the Parties are not in alignment after such [***] Business Day period, either Party may refer this matter for resolution in accordance with the defined dispute resolution procedure set forth in Article 13 within [***] Business Days. MabVax Therapeutics Holdings Inc. shall bear the full cost of such audit unless the report of the Auditor discloses an underpayment by BII of more than [***] percent ([***]%) of the amount due for any Calendar Year, in which case BII shall bear the full cost of such audit. BII shall pay the amount of any underpayment disclosed in the undisputed Auditor’s report, together with interest thereon to MabVax Therapeutics Holdings Inc. within [***] days after delivery to the Parties of the final Auditor’s report. Financial Audit. Transco shall have the right, but not the obligation, to conduct an annual audit with respect to the O&M Expenses. Con Edison agrees to cooperate with such annual audit and, upon request, provide Transco or its agents with access to all records and books kept in connection with the O&M Expenses.
Financial Audit. The Charter School shall conduct an annual Financial Statement Audit and Financial and Administrative Procedures Controls Review (collectively, the “Financial Audit”).
4.9.1 The Financial Audit shall be conducted consistent with the Monitoring Plan including, but not limited to, (1) an audit of the accuracy of the Charter School’s financial statements, (2) an audit of the Charter School’s attendance accounting and revenue claims practices, and (3) an audit of the Charter School’s internal control practices.
4.9.2 The auditor conducting the Financial Audit shall be a licensed certified public accountant.
4.9.2.1 The selection of the auditor shall require prior approval by the Sponsor.
4.9.3 The Financial Audit shall be completed and the report delivered to the Sponsor and DESE no later than December 31 following the conclusion of the fiscal year.
4.9.4 The Charter School shall publish Financial Audit results consistent with Xxxxxxx 000, XXXx.
4.9.5 The cost of the Financial Audit shall be borne by the Charter School.
4.9.6 In the event that the Charter School has local education agency (“LEA”) status, the Financial Audit shall satisfy the requirements of the Every Student Succeeds Act and the reauthorized Elementary and Secondary Education Act for audits of such agencies.
