Financial Considerations. 9.1. In consideration for the rendering of the services, the cidb shall pay the service provider as set forth in Annexure “B” hereof.
9.2. The Service Provider acknowledges that as an independent contractor it will be remunerated for delivery of a specific services as set forth in Annexure “A” hereof.
9.3. Where the Service Provider is a registered VAT vendor, payment of the fees shall be payable to the Service Provider within 30 (thirty) days of receipt of a duly completed VAT invoice, less applicable financial penalties and disputed amounts, provided the invoice is accurate and meets the requirements of this Agreement

9.5. Should the cidb query an item in an invoice, the Service Provider shall within seven (7) days after a written request by the cidb, provide the cidb with any other documentation or information reasonably required by the cidb in order to verify the accuracy of the amounts due on an invoice.
9.6. The Service Provider shall for the contract term and for a period of three (3) years after the termination of this Agreement, maintain a complete audit trail of the Services performed under this Agreement, sufficient to permit a complete audit thereof.
9.7. Unless otherwise agreed in writing, the cidb shall not be responsible for any subsistence, accommodation, and travel allowances that the service provider may incur in rendering the services. Any extraordinary expenses if payable by the cidb will require cidb’s prior approval before they are incurred by the service provider.
9.8. The cidb will pay the Service Provider for work completed by direct transfer into the following bank account of the Service Provider or such other bank account designated by the Service Provider from time to time.
9.9. The cidb may withhold payment of fees that the cidb disputes in good faith or, if the disputed fees have already been paid, the cidb may withhold an equal amount from a later payment, including disputes in respect of an error in an invoice or an amount paid. Financial Considerations. 5.1 In the event aggregate funding provided to SCDDO from county, state and/or federal sources is reduced or in any way becomes insufficient to fund this Agreement, the obligations of both SCDDO and the CSP must thereupon be: (1) reduced on a pro rata basis, or (2) renegotiated or terminated, provided that any termination of this Agreement must be without prejudice to any obligations or liabilities of the parties accrued prior to the termination.

Financial Considerations. (a) Product Owner's cost of the Infomercial shall not exceed $250,000, and Product Owner's cost of the Spot shall not exceed $28,000 (collectively referred to as "Cost Estimate"). For purposes of determining Hawthorne's costs for all purposes under this Agreement, Hawthorne's staff will be invoiced at actual salaries, plus 25% for taxes and benefits, and out-of-pocket expenditures will be invoiced at Hawthorne's actual cost with no markup by Hawthorne.
(b) The terms of payment for production of the Spot are five thousand dollars ($5,000) upon execution of this Agreement, five thousand dollars ($5,000) one day prior to the commencement of principal photography for the Spot, and final payment in full within 90 days from the execution of this Agreement, with payment to be evidenced by a promissory note in the form attached hereto as Attachment D. The payments by Product Owner for the Infomercial shall be, as follows:
(i) Fifteen percent (15%) of the Cost Estimate, at the time the final Infomercial script ("Script") and Cost Estimate are presented to Product Owner;
(ii) Fifteen percent (15%) of the Cost Estimate, plus estimated talent fees one business day prior to commencement of principal photography for the Infomercial;
(iii) Thirty percent (30%) of Cost Estimate one day prior to the planned commencement of principal photography,
(iv) Final balance (based on actual costs), and Stock Warrants (as defined in Section 7(j) herein) at the completion of editing of the Infomercial, upon final Product Owner approval and prior to release of tape master or release of copies of the Infomercial.
(c) The following costs are above the Cost Estimate and will be billed to and paid by Product Owner at Hawthorne's cost:
(i) For travel approved in advance by Product Owner, all travel and living expenses incurred by Hawthorne personnel (coach airfare, standard hotel rates, $50 meal per diems) in connection with Hawthorne's responsibilities under this Agreement;
(ii) All legal opinions for the Script, Commercial off-line and Commercial on-line edits (estimated cost: $1,500 to $5,000) rendered by attorneys with expertise in direct response television ads;
(iii) All approved by Product Owner talent related costs related to the production and subsequent airing of the Infomercial including, but not limited to: talent casting, travel, wardrobe, teachers, broker fees; talent fees and royalties, payroll fees, pension and welfare fees, taxes; AFTRA/SAG talent residuals.

Financial Considerations. A. Teachers will have a choice of receiving their annual salary paid over 24 pays or 20 pays. Pay dates will be the 10th and the 25th of each month. If those dates fall on a weekend, the pay date will be the Friday prior to that date. Teachers shall sign up for their preference by May 30th for the next school year. It is understood that no changes shall be made until the next May 30th.
B. The professional salary schedule, as attached under Appendix I, shall be part of the Master Agreement.

D. The Board shall recognize military experience towards increments on the salary schedule when such military experience has interrupted a teaching career with the Walled Lake Consolidated School District.
E. In the event a secondary teacher is assigned to regularly teach an additional class beyond the normal load, the compensation for this added responsibility will be that the teacher shall receive one (1/5) fifth additional contractual salary for this responsibility. Such assignments shall be made only in emergency situations.
F. The high school counseling departments shall have an extended school year to be computed in the following manner: number of counselors per building times fifteen (15) (example: 4 counselors x 15 = 60 days). After the total number of days is known, a work schedule will be developed by each department and forwarded to the building principal for approval. Each counselor shall be paid his/her daily rate (employee's contractual salary divided by the number of teacher days in Article VIII for each day worked). If an employee agrees to work on the Saturday Testing Program, he/she will be compensated at the rate of $27.68 per testing hour, less the money received, if any, from honorariums.
G. The middle school counseling departments shall have an extended school year to be computed in the following manner: number of counselors per building times eight (8) (example: 2 counselors x 8 days = 16 days). After the total number of days is known, a work schedule will be developed by each building and forwarded to the building principal for approval. Each counselor shall be paid at his/her per diem rate. At the building principal’s discretion, an additional two (2) days per counselor may be approved for middle school counselor work, paid at each counselor’s per diem rate.
