Common use of Finder’s Fees Clause in Contracts

Finder’s Fees. No broker, investment bank, financial advisor or other person is entitled to any broker’s, finder’s, financial adviser’s or similar fee or commission in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

No Other than as expressly contemplated by the Merger Agreement, no broker, investment bank, financial advisor or other person is entitled to any broker’s, finder’s, financial adviser’s or similar fee or commission in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholder.

The Company has delivered to Parent true and complete copies of all agreements under which any such Stockholderfees or expenses are payable and all indemnification and other agreements related to the engagement of the Persons to whom such fees are payable.

No broker, investment bank, financial advisor or other person Person is entitled to any broker’s, finder’s, financial adviser’s or similar fee or commission payable by the Company or any of its Subsidiaries in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholderthe Shareholder or CMIG International.

No Except for Bxxxx Gxxxxxx Lxxx & Company, no broker, finder or investment bank, financial advisor banker is or other person is will be entitled to any broker’sbrokerage, finder’s, financial adviser’s or similar other fee or commission from any of the parties hereto in connection with the transactions contemplated hereby by this Agreement or any other transaction document based upon arrangements made by or on behalf of such Stockholderthe Company.

Finder’s Fees. No broker, investment bankbanker, financial advisor or other person Person acting for or on behalf of the Purchaser is entitled to any broker’s, finder’s, financial adviseradvisor’s or similar fee or commission in connection with the transactions Transactions contemplated hereby based upon arrangements made by this Agreement or on behalf of such Stockholderany other Transaction Document.

No broker, finder, investment bank, financial advisor banker or other person Person is entitled to any broker’sbrokerage fee, finder’s, financial adviser’s or similar finders’ fee or other commission in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by or on behalf of any Company Group Member for which such StockholderCompany Group Member has any obligation.

No broker, investment bank, financial financial advisor or other person Person is entitled to any broker’s, finderfinder’s, financial financial adviser’s or similar fee or commission in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholderthe Shareholder.

Finder’s Fees. No agent, broker, investment bankbanker, financial advisor person or other person firm acting on behalf of or under the authority of Holder is or will be entitled to any broker’s, finder’s, financial adviser’s or similar finder’s fee or any other commission directly or indirectly in connection with the transactions contemplated hereby based upon arrangements made by or on behalf of such Stockholderhereby.

No broker, finder, investment bank, financial advisor banker or other person Person is entitled to any broker’sbrokerage fee, finder’s, financial adviser’s or similar finders’ fee or other commission in connection with the transactions contemplated hereby by this Agreement based upon arrangements made by such Shareholder or on behalf any of such Stockholderits Representatives for which any Group Company, VIH, Holdco or Merger Sub has any obligation.
