FIPPA Records and Compliance. The Parties acknowledge and agree that the Buyer is subject to FIPPA and that FIPPA applies to and governs all Confidential Information in the custody or control of the Buyer (“FIPPA Records”) and may, subject to FIPPA, require the disclosure of such FIPPA Records to third parties. The Supplier agrees to provide a copy of any FIPPA Records that it previously provided to the Buyer if the Supplier continues to possess such FIPPA Records in a deliverable form at the time of the Buyer’s request. If the Supplier does possess such FIPPA Records in a deliverable form, it shall provide the same within a reasonable time after being directed to do so by the Buyer. The provisions of this Section 8.5 shall survive any termination or expiry of this Agreement and shall prevail over any inconsistent provisions in this Agreement.

FIPPA Records and Compliance. The Parties acknowledge and agree that FIPPA applies to and governs all Records and may require the disclosure of such Records to third-parties. Furthermore, BRI agrees: (a) to keep Records secure; (b) to provide Records to the Ministry within seven (7) calendar days of being directed to do so by the Ministry for any reason including an access request or privacy issue; (c) not to access any Personal Information unless provided by the Ministry or the Ministry determines, in its sole discretion, that access is permitted under FIPPA and is necessary in order to provide the Deliverables; (d) not to directly or indirectly use, collect, disclose or destroy any Personal Information for any purposes that are not required to provide the Deliverables or are not authorized by the Ministry; (e) to ensure the security and integrity of Personal Information and keep it in a physically secure and separate location safe from loss, alteration, destruction or intermingling with other records and databases and to implement, use and maintain appropriate products, tools, measures and procedures to do so; (f) to restrict access to Personal Information to those of its directors, officers, employees, agents, partners, affiliates, volunteers or subcontractors who have a need to know it for the purpose of providing the Deliverables and who have been specifically authorized by the Ministry Representative to have such access for the purpose of providing the Deliverables; (g) to implement other reasonable specific security measures that in the reasonable opinion of the Ministry would improve the adequacy and effectiveness of BRI’s measures to ensure the security and integrity of Personal Information and Records generally; and (h) that any confidential information supplied to the Ministry may be disclosed by the Ministry where it is obligated to do so under FIPPA, by an order of a court or tribunal or pursuant to a legal Proceeding; and the provisions of this paragraph shall prevail over any inconsistent provisions in this Contract.

If the ASP does possess such FIPPA Records in a deliverable form, it shall provide the same within a reasonable time after being directed to do so by the IESO. The provisions of this Section 10.5 shall survive any termination or expiry of this Agreement and shall prevail over any inconsistent provisions in this Agreement.

If the Supplier does possess such FIPPA Records in a deliverable form, it shall provide the same within a reasonable time after being directed to do so by the Ontario Power Authority. The provisions of this Section shall survive any termination or expiry of this Agreement and shall prevail over any inconsistent provisions in this Agreement.
FIPPA Records and Compliance. The Participant and the IESO acknowledge and agree that the IESO and its Representatives are subject to FIPPA and that FIPPA applies to and governs all recorded information in any form or medium that is provided by the IESO or its Representatives to the Participant or provided by the Participant to the IESO or its Representatives for the purposes of this Agreement, or created by the Participant in the performance of this Agreement, and that is in the custody or control of the IESO ("FIPPA Records"), and may require the disclosure of such FIPPA Records to third parties. To the extent that the IESO must comply with disclosure obligations under FIPPA, the Participant agrees: (a) to keep FIPPA Records in its possession secure; (b) to provide FIPPA Records to the IESO within seven calendar days of being directed to do so by the IESO for any reason under FIPPA, including an access request or privacy issue; and (c) to implement other specific security measures that in the reasonable opinion of the IESO would improve the adequacy and effectiveness of the Participant's measures to ensure, for the purposes of FIPPA, the security and integrity of FIPPA Records held in the Participant's possession.

The Supplier agrees to provide a copy of any FIPPA Records that it previously provided to the Independent Electricity System Operator if the Supplier continues to possess such FIPPA Records in a deliverable form at the time of the Independent Electricity System Operator’s request. TERM‌ 9.1 ‌ Term (a) This Agreement shall be effective from the Contract Date to and until the end of the later of the Term or, if applicable, the Residual Term. (b) The “Term” means that period of time commencing at the beginning of the hour ending 01:00 hours (EST) on the Start Date, and ending at 24:00 hours (EST) on the Facility End Date, subject to an earlier termination in accordance with the provisions hereof. (c)‌ Unless the Sponsor determines, at least five (5) Business Days prior to the Facility End Date, that a Residual Term shall not apply, the Participant will be subject to a Residual Term if one or more of the following applies: (i) the Participant is subject to the Non-Performance Adjustment for the final Pilot Year; (ii) the Participant is subject to the Over-Performance Adjustment for the final Pilot Year; or (iii) the ICI Return Adjustment will be applied in accordance with Section 5 of Exhibit F. If the ICI Return Adjustment will not be applied the Sponsor will provide the Participant written notice of a one-time option to settle any Non-Performance Adjustments or Over-Performance Adjustments that would otherwise be applicable during the Residual Term as a single lump sum payment added to the next applicable Settlement following the Facility End Date (the “One Time Settlement Option”). If the Participant accepts the One-Time Settlement Option in writing within ten (10) Business Days of receipt of written notice thereof from the Sponsor then the Participant will not be subject to a Residual Term, failing which the Participant will be deemed to have rejected the One-Time Settlement Option and the Residual Term sh...

The Supplier agrees to provide a copy of any FIPPA Records that it previously provided to the IESO as required by or in fulfillment of this Agreement, other than any information that the Supplier has requested be returned to it pursuant to Section 8.3 hereof and that the Buyer does not retain a copy of for purposes of its compliance with Laws and Regulations, if the Supplier continues to possess such FIPPA Records in a deliverable form at the time of the IESO’s request. If the Supplier does possess such FIPPA Records in a deliverable form, having conducted a reasonable search therefor, it shall provide the same within a reasonable time after being directed to do so by the IESO. The provisions of this Section 8.5 shall prevail over, and apply in lieu of, any other applicable provisions in this Agreement.
