On or prior to the Closing Date, the Company shall deliver to Parent a properly executed statement in a form reasonably acceptable to Parent for purposes of satisfying Parent's obligations under Treasury Regulation Section section 1.1445-2(c)(3)) of the Income Tax Regulations, a properly executed notice to the IRS required by section 1.897-2(b)(ii) in a form satisfactory to Parent and either evidence satisfactory that the statement and notice have been properly filed with the IRS or authorization for Parent so to file the statement and notice.
