Notwithstanding whether the Notice of Termination was provided by the OPS Member or the GGS Member, the OPS Member shall withdraw as a Member of the Company on the first business day 90 days after the Notice of Termination has been given (the “Termination Date”), and the Managers nominated by the OPS Member and any Officers who are employees of the OPS Member or its Affiliates shall concurrently submit their written resignations to the Company.
