Each of the Company and its subsidiaries possesses all governmental franchises, licenses, permits, consents, authorizations, exemptions and orders, required by the Company and its subsidiaries to carry on their businesses as now being conducted. All registrations, designations and filings with all governmental authorities required in the conduct of the businesses of the Company or its subsidiaries or in connection with the consummation of the transactions contemplated by this Agreement have been made or obtained.
