The Frankfort First Disclosure Schedule lists and briefly describes each Material Contract (the “Frankfort First Existing Contracts”) to which Frankfort First or the Bank is a party or by which its assets are bound. Each of Frankfort First and the Bank has fully performed each term, covenant and condition of each Frankfort First Existing Contract which is to be performed by it at or before the date hereof, except where such non-performance would not have a Material Adverse Effect on Frankfort First.
