Free Television Channel. If, as part of such larger acquisition, Grupo Televisa acquires a Spanish language Free Television channel in the Territory, Licensor shall offer to Licensee the right to acquire the Free Television channel as a Carve Out Business (pursuant to the terms and conditions of this Section 16.3); provided, that if Licensee does not acquire such Spanish language Free Television channel, for any reason, Grupo Televisa shall, as promptly as reasonably practicable, entirely divest itself of such Spanish language Free Television channel.

Free Television Channel. If, as part of such larger acquisition, Univision Group acquires a Spanish language Free Television channel in the Territory, Licensor shall offer to Licensee the right to participate in the Free Television channel as a Carve Out Business (pursuant to the terms and conditions of this Section 16.3); provided, that if Licensee does not participate in such Spanish language Free Television channel, for any reason, Univision Group shall, as promptly as reasonably practicable, entirely divest itself of any interest in such Spanish language Free Television channel.
