Full Participation. Participant will participate in all of the series of events leading up to the final selection of the Local Representative of the Local Program. She will abide and be bound by the rules and regulations governing and/or established from time to time by the Programs. Participant understands that her participation in the Local Program authorizes any of the Programs, its sponsors and anyone duly licensed by the Programs, to televise, broadcast on radio, television, or other electronic media, or photograph her singly or in a group, either in connection with the Programs or otherwise. Participant also agrees to execute such releases, consents and other forms requested from her by the Programs.

Participant understands that her participation in the State Program authorizes any of the Programs, its sponsors and anyone duly licensed by the Programs, to televise, broadcast on radio, television, or other electronic media, or photograph her singly or in a group, either in connection with the Programs or otherwise. Participant also agrees to execute such releases, consents and other forms requested from her by the Programs.
Full Participation. DataMEG's Board of Directors and all of its Shareholders shall have approved and Share Exchange and waived any appraisal rights.
Full Participation. The Shareholders shall stand ready, willing and able to close the transactions contemplated hereby at the Closing.

Each other Purchaser shall have purchased the Securities in the principal amounts set forth opposite such Purchaser's name on SCHEDULE A attached hereto and Xxxxx Xxxx (the "Other Investor"), who is purchasing a subordinated note and warrant under a certain Subordinated Note Purchase Agreement dated the date hereof, shall have purchased the subordinated note and warrant in the amounts set forth opposite the Other Investor's name on SCHEDULE A attached thereto.
Full Participation. NBR's Board of Directors and all of its Shareholders shall have approved the Share Exchange and waived any appraisal rights.
Full Participation. The Parties acknowledge that each Party has participated in the drafting of this Agreement and each has had an equal opportunity to participate in the drafting of this Agreement. No ambiguity shall be construed against any Party based upon a claim that the Party drafted the ambiguous language.
Full Participation. If the parties elect Full Participation each party shall participate in the Initial Test Well as proposed and shall bear their respective share of the cost thereof. The parties shall also enter into a mutually agreeable form of operating agreement for such well and if no agreement can be reached the operating agreement will be in the form of the JOA.
Full Participation. Both Logistics Provider and its Customer have participated fully in the negotiation, review and creation of this Service Schedule, each with the assistance of independent legal counsel. Any rule of construction to the effect that ambiguities are to be resolved against the drafting party shall not apply in interpreting this Service Schedule. The language in this Service Schedule shall be interpreted as to its fair intended meaning and purpose and not strictly for or against any party.
