Funding Certificate Clause Samples
A Funding Certificate clause defines the requirements and procedures for providing formal documentation that verifies the receipt or availability of funds, typically in the context of a financial transaction or investment. This clause usually specifies who must issue the certificate, what information it must contain (such as the amount funded and the date of transfer), and when it must be delivered, for example, as a condition precedent to closing a deal. Its core practical function is to ensure that all parties have clear, documented evidence of funding, thereby reducing the risk of disputes and providing assurance that financial obligations have been met.
