Furnish Trustee and Noteholder Reports. For so long as any of the Securities remain outstanding, to furnish to the Initial Purchasers, upon request, copies of all reports and other communications (financial or otherwise) furnished by the Company to the Trustee or to the holders of the Securities and, as soon as available, copies of any reports or financial statements furnished to or filed by the Company with the SEC or any national securities exchange on which the Securities may be listed.

Furnish Trustee and Noteholder Reports. For so long as any of the Securities remain outstanding, to furnish to the Initial Purchasers copies of all reports and other communications (financial or otherwise) furnished by the Company to the Trustee or to the holders of the Securities and, as soon as available, copies of any reports or financial statements furnished to or filed by the Company with the SEC or any national securities exchange on which any class of securities of the Company may be listed; provided, however that so long as the Company is subject to the reporting requirements of either Section 13 or 15(d) of the Exchange Act and is timely filing reports with the Commission on its Electronic Data Gathering, Analysis and Retrieval (“XXXXX”) system, it is not required to furnish such reports or statements to the Initial Purchasers.

Furnish Trustee and Noteholder Reports. For three years after the Closing Date, to furnish to the Initial Purchasers copies of all reports and other communications (financial or otherwise) furnished by the Issuers to the Trustee or to the holders of the Securities and, as soon as available, copies of any reports or financial statements furnished to or filed by the Issuers with the SEC or any national securities exchange on which any class of securities of the Issuers may be listed; provided, however, that so long as the Issuers (or any successor) is subject to, or otherwise voluntarily complying with, the reporting requirements of either Section 13 or Section 15 of the Exchange Act and is timely filing such reports with the SEC on XXXXX, such reports and other communications will be deemed to have been furnished to the Initial Purchasers upon the filing thereof with SEC on XXXXX.

Furnish Trustee and Noteholder Reports. During the one year period after the First Closing Date or the last Option Closing Date, the Company shall furnish to each Initial Purchaser copies of all reports and other communications (financial or otherwise) furnished by the Company to the Trustee or to the holders of the Securities and, as soon as available, copies of any reports or financial statements furnished to or filed by the Company with the SEC or any national securities exchange on which any class of securities of the Company may be listed, provided that the reports or financial statements required to be delivered pursuant to this clause (l) which are made available via XXXXX, or any successor system of the SEC, shall be deemed delivered to such Initial Purchaser on the date such documents are made so available.
