Common use of General Assurances Clause in Contracts

General Assurances. The Grantee represents and warrants that: 1. It has the legal authority to receive and expend the Grant funds and execute a CDBG program; 2. This Agreement has been duly authorized by the Grantee’s governing body, the person executing this Agreement has authority to do so, and, once executed by the Grantee, this Agreement shall constitute a binding obligation of the Grantee, enforceable according to its terms. 3. This Agreement and the Grantee’s obligations under this Agreement do not conflict with any law applicable to the Grantee’s charter (if applicable), or any judgment or decree to which it is subject.
