c. Securing and monitoring director and officers liability coverage.
4. Coordinate shareholder meetings by:
a. Assisting in the preparation and mailing of shareholder communications, including proxy materials.
b. Assisting with the scheduling and conduct of shareholder meetings.

a. Monitor website for compliance and accuracy.
b. Update on a monthly basis with current information.
c. Maintain back-up of website on a monthly basis.
6. Assist in the overall operations of the Fund.

c. Assist with the selection of the independent auditor.
d. Secure and monitor fidelity bond and director and officer liability coverage, and make the necessary Securities and Exchange Commission (the “SEC”) filings relating thereto.
e. Prepare minutes of meetings of the Board of Trustees, committees of the Board of Trustees, as agreed upon by both parties and Fund shareholders.
f. Recommend dividend declarations to the Board of Trustees and prepare and distribute to appropriate parties notices announcing declaration of dividends and other distributions to shareholders.
g. Attend Board of Trustees meetings and meetings of committees of the Board of Trustees, as agreed upon by both parties and present materials for Trustees’ review at such meetings.

General Fund Management i. Supervise the overall operations of the Fund, including the provision of services to the Fund by the Fund's fund accounting agent, transfer agent, administrator, custodians, auditors, legal counsel, and other independent contractors or agents (the "Service Providers").
ii. Negotiate contracts and fees, and monitor xxxxxxxx of the Fund's Service Providers.
iii. Review and monitor quality of service provided by the Fund’s Service Providers and work with Service Providers and Fund sponsor to improve service as necessary.
iv. Supervise and assist in the implementation of changes to the Fund.
v. Provide personnel to serve as officers of the Fund if so elected by the Board.
vi. Serve as liaison between the Fund management and the Service Providers.
vii. Prepare documentation and negotiate insurance policies for the Fund.
