Common use of General Indemnity Obligations Clause in Contracts

General Indemnity Obligations. LifeCell MR shall indemnify, defend and hold harmless Novadaq, and its Affiliates and their respective officers, directors, employees and agents (the “Novadaq Indemnitees”) from and against (and shall on demand reimburse them for), any and all liabilities, damages, losses, demands, actions, suits, proceedings, claims, deficiencies, penalties, interest, expenses, fines, assessments, charges and costs (including, without limitation, reasonable attorneys fees, costs of investigation and court costs) imposed on, incurred by or asserted against such Novadaq Indemnitees in any way relating to or arising from or out of LifeCell MR’s activities hereunder. Novadaq shall indemnify, defend and hold harmless the LifeCell MR Indemnitees from and against (and shall on demand reimburse them for), any and all liabilities, damages, losses, demands, actions, suits, proceedings, claims, deficiencies, penalties, interest, expenses, fines, assessments, charges and costs (including, without limitation, reasonable attorneys fees, costs of investigation and court costs) imposed on, incurred by or asserted against such LifeCell MR Indemnitees in any way relating to or arising from or out of Novadaq’s activities hereunder, any product liability claim related to the Products, or any other claim related to the design or manufacture of the Products.

LifeCell MR KCI US shall indemnify, defend and hold harmless Novadaq, and its Affiliates and their respective officers, directors, employees and agents (the “Novadaq Indemnitees”) from and against (and shall on demand reimburse them for), any and all liabilities, damages, losses, demands, actions, suits, proceedings, claims, deficiencies, penalties, interest, expenses, fines, assessments, charges and costs (including, without limitation, reasonable attorneys fees, costs of investigation and court costs) imposed on, incurred by or asserted against such Novadaq Indemnitees in any way relating to or arising from or out of LifeCell MRKCI US’s activities hereunder. Novadaq shall indemnify, defend and hold harmless harmless, the LifeCell MR KCI US Indemnitees from and against (and shall on demand reimburse them for), any and all liabilities, damages, losses, demands, actions, suits, proceedings, claims, deficiencies, penalties, interest, expenses, fines, assessments, charges and costs (including, without limitation, reasonable attorneys fees, costs of investigation and court costs) imposed on, incurred by or asserted against such LifeCell MR KCI US Indemnitees in any way relating to or arising from or out of Novadaq’s activities hereunder, any product liability claim related to the Products, or any other claim related to the design or manufacture of the Products.

Novadaq shall indemnify, defend and hold harmless the LifeCell KCI MR Indemnitees from and against (and shall on demand reimburse them for), any and all liabilities, damages, losses, demands, actions, suits, proceedings, claims, deficiencies, penalties, interest, expenses, fines, assessments, charges and costs (including, without limitation, reasonable attorneys fees, costs of investigation and court costs) imposed on, incurred by or asserted against such LifeCell KCI MR Indemnitees in any way relating to or arising from or out of Novadaq’s activities hereunder, any product liability claim related to the Products, or any other claim related to the design or manufacture of the Products.

Novadaq shall indemnify, defend and hold harmless the LifeCell MR Indemnitees from and against (and shall on demand reimburse them for), any and all liabilities, damages, losses, demands, actions, suits, proceedings, claims, deficiencies, penalties, interest, expenses, fines, assessments, charges and costs (including, without limitation, reasonable attorneys fees, costs of investigation and court costs) imposed on, incurred by or asserted against such LifeCell MR Indemnitees in any way relating to or arising from or out of Novadaq’s activities hereunder, any product liability claim related to the Products, or any other claim related to the design or manufacture of the Products.
