Common use of GENERAL INSTRUMENT CORPORATION SAVINGS PLAN Clause in Contracts

GENERAL INSTRUMENT CORPORATION SAVINGS PLAN. The active participation in the General Instrument Corporation Savings Plan (the ''GI Savings Plan'') by persons other than the Active Employees of the GS Group shall cease effective as of the Distribution Date. In addition, as of the Distribution Date, all members of the NextLevel Group shall cease to be sponsors of the GI Savings Plan and the members of the GS Group shall be the only sponsors of the GI Savings Plan.
