Common use of General Non-Solicitation Clause in Contracts

General Non-Solicitation. The Executive agrees that during the period of the Executive’s employment by the Company and for a period of 12 months after termination or cessation of such employment for any reason (the “Restricted Period”), the Executive shall not solicit, divert or take away, or attempt to divert or take away, the business or patronage of any of the (i) clients, customers or accounts of the Company, or (ii) prospective clients, customers or accounts of the Company which (in the case of (ii) only) were contacted, solicited or served by the Executive while employed by the Company. Furthermore, notwithstanding the foregoing, the Executive agrees that in the event that, during the Restricted Period, the Executive’s has breached the Executive’s fiduciary duty of loyalty to the Company, then the Restricted Period shall be extended for an additional twelve (12)-month period.
