General Plans, Specifications and Working Drawings. The BUILDER retains all rights with respect to the Specifications, and plans and working drawings, technical descriptions, calculations, test results and other data, information and documents concerning the design and construction of the DRILLSHIP, and the BUYER undertakes therefore not to disclose the same or divulge any information contained therein to any third parties, without the prior written consent of the BUILDER, such consent not to be unreasonably withheld, except where it is necessary for usual operation, repair and maintenance of the DRILLSHIP.
General Plans, Specifications and Working Drawings. Khiam Chuan Marine Pte Ltd retains the title to the Design as stated in Exhibit G part 7.1 of this contract. Builder and Owner undertakes not to disclose or divulge the Technical Specifications, plans and working drawings, technical descriptions, calculations, test results and other data, information and documents concerning the design and construction of the Vessel and the information contained therein to any third parties, without the prior written consent of the other party, excepting where it is necessary for usual operation, repair and maintenance of the Vessel.

BUILDER retains all rights with respect to basic design, detailed design, plans, working drawings, technical descriptions, calculations, test results and other data, information and documents concerning the design and construction of the DRILLSHIP, and BUYER undertakes therefore not to disclose the same or divulge any information contained therein directly or indirectly to any third parties, without the prior written consent of BUILDER, except where it is necessary for the usual operation, repair and maintenance or upgrades of the DRILLSHIP. In the event that BUYER breaches its obligations and undertakings under Clause 2 of this Article, BUILDER is entitled to make a claim and/or bring suit against BUYER in respect of any loss and damage whatsoever suffered by BUILDER as result of any such breach by BUYER. All intellectual property owned by BUYER prior to entering into this CONTRACT and all intellectual property developed solely by BUYER during the term of this CONTRACT shall belong to BUYER. If the parties jointly develop any intellectual property associated with this CONTRACT, the parties agree to negotiate in good faith and to execute a development agreement to identify and allocate ownership rights in the jointly developed intellectual property.

The SELLER retains copyright with respect to the Specifications, and plans and working drawings, technical descriptions, calculations, test results and other data, information and documents concerning the design and construction of the VESSEL and the BUYER undertakes therefore not to disclose the same or divulge any information contained therein to any third parties, without the prior written consent of the SELLER, except where it is necessary for usual operation, repair and maintenance of the VESSEL and its financing. The PURCHASER retains all intellectual property rights on the plans and working drawings, technical descriptions, calculations, test results and other data information and documents concerning the design and construction of the VESSEL. For the purpose of servicing, repairing or modifying the VESSEL, the CONTRACTOR shall provide the PURCHASER with the necessary plans and working drawings, technical descriptions, calculations, test results and other data information and documents at the latest upon the delivery of the VESSEL. By providing these necessary plans and working drawings, technical descriptions, calculations, test results and other data information and documents, the CONTRACTOR also grants the VESSELowner an indefinite license to use the plans only to service, repair or modify the VESSEL. Property in the VESSEL As provided for in art. 6 (a) of this CONTRACT, the VESSEL under construction (‘schip in aanbouw’) shall become property of the PURCHASER as soon as the keel laying has taken place or the Vessel under construction is ready for registration in the ship register of the country where shipyard is located as ‘schip in aanbouw’, whichever comes first. As of this moment, the Vessel under construction is and shall remain property of the PURCHASER. In the event that the country where shipyard is located does not allow registration of the keel or the ‘schip in aanbouw’, the keel or the ‘schip in aanbouw’ shall be registered in a foreign register agreed between the CONTRACTOR and the PURCHASER, if possible.

The BUILDER retains all rights with respect to the SPECIFICATIONS, and plans and working drawings, technical descriptions, calculations, test results and other data, information and documents concerning the design and construction of the VESSEL and the BUYER undertakes therefore not to disclose the same or divulge any information contained therein to any third parties, without the prior written consent of the BUILDER, except where it is necessary for usual operation, repair, registration, classification, chartering, sale and maintenance of the VESSEL. General Plans, Specifications and Working Drawings. (a) The OWNER retains the right to use the Specifications to inspect and/or verify the work performed by the BUILDER hereunder or to make repairs or modifications to the VESSEL or to use or operate the VESSEL
(b) It is specifically agreed that the Contract Price does not include provision for BUILDER's obtaining or having obtained any and all necessary design rights from R&B Falcon Drilling Co. and Ishikawajima-Harima Heavy Industries Co., Ltd. and/or their parent, affiliated or subsidiary companies (hereinafter "Designer") nor payment of any and all design and/or royalty fees and that same has or will be obtained/paid by OWNER.
