General Representation and Warranties. Each Party represents, warrants, and covenants to the other as follows:

Each party represents and warrants that it has the full power and authority to enter into this Agreement, to consummate the transactions contemplated to be consummated hereby, and to perform the obligations hereunder. This Agreement has been duly executed and delivered and constitutes each party’s valid and binding obligation in accordance with its terms of this Agreement. Neither the execution and delivery of this Agreement, nor the consummation of the transactions contemplated to be consummated hereby, nor compliance with any of the provisions hereof will result in: a breach of or a default under any term, condition, or provision of any contract, agreement, indenture, lease, commitment, license, franchise, permit, authorization, or concession to which either party is a party, or an event which, with the giving of notice, lapse of time, or both, would result in any such breech or default; or a violation of any statute, rule, regulation, ordinance, code, order, judgment, writ, injunction, decree, or award, or an event which, with the giving of notice, lapse of time or both, would result in any such violation. No consent, approval, authorization, declaration, filing, or registration with any governmental or regulatory authority, or any other person, is required to be made or obtained by either party in connection with the execution, delivery, and performance of this Agreement or the consummation of the transactions contemplated to be consummated hereby.
