The Consultant shall not offer any City officer or designated employee any gift prohibited by Chapter 12.08. The Consultant’s violation of this Subsection 21.1 is a material breach.

Seller shall not use either directly or indirectly any officer, employee or agent to perform any services if doing so would violate Chapter 12.10.

The Parties shall maintain complete and accurate records in connection with any commission, fee, rebate, gift or entertainment of significant cost or value in connection with the performance of this Agreement and all transactions related thereto for at least twenty-four months from the date of invoice to Company and Operator. No director, officer, employee or agent of any Party hereto shall give or receive any commission, fee, rebate, gift or entertainment of significant cost or value in connection with the performance of this Agreement.

SELLER SHALL NOT USE EITHER DIRECTLY OR INDIRECTLY ANY OFFICER, EMPLOYEE OR AGENT TO PERFORM ANY SERVICES IF DOING SO WOULD VIOLATE CHAPTER 12.10. 51
