Good Faith Covenants Sample Clauses
A Good Faith Covenants clause requires all parties to act honestly and fairly in fulfilling their contractual obligations. In practice, this means that each party must avoid deceptive practices, cooperate as needed, and refrain from actions that would undermine the agreement’s purpose. This clause helps ensure that the contract is performed as intended and protects parties from bad faith conduct that could otherwise frustrate the agreement.
Good Faith Covenants. The User will not do anything or omit to do anything that might impair, jeopardize, violate or infringe the ▇▇▇▇ or the Province’s interest in the ▇▇▇▇ or any other marks owned by the Province, including but not limited to:
(a) opposing, contesting or in any other manner challenging the ownership, validity or goodwill of the ▇▇▇▇ or the Province’s interest in the ▇▇▇▇;
(b) claiming, using, displaying, reproducing or applying to register any trade-▇▇▇▇, official ▇▇▇▇, trade name or design that incorporates, is identical to or confusing with the ▇▇▇▇, or that is derived from or based on the ▇▇▇▇; and the User will not assist, permit or encourage any other person or entity to do any of the foregoing.
Good Faith Covenants. The Institution will not do anything or omit to do anything that might impair, jeopardize, violate or infringe the Marks or the Province’s interest in the Marks, including but not limited to:
(a) opposing, contesting or in any other manner challenging the validity of the Marks or the Province’s interest in the Marks; and
(b) unless authorized in writing by the Province, claiming, using, displaying, reproducing or applying to register any trade-mark, trade name, Identifier, copyright or design that is identical to or confusing with, or that is derived from or based on, the Marks. The Institution will not assist, permit, or encourage any other person or entity to do any of the above.
Good Faith Covenants. You will not directly or indirectly: (a) do anything or omit to do anything that might damage or disparage the MACPAC ▇▇▇▇ or the goodwill associated with the MACPAC ▇▇▇▇; (b) challenge the validity of the MACPAC ▇▇▇▇ or MACPAC’s interest in the MACPAC ▇▇▇▇; (c) register, record or acquire any rights in any trade-▇▇▇▇, trade name, business name, corporate name, copyright, domain name or design that in whole or in part reproduces or resembles the MACPAC ▇▇▇▇, or is confusing with the MACPAC ▇▇▇▇, or is derived from or based on the MACPAC ▇▇▇▇; or (d) assist, permit, or encourage any other person or entity to do any of the above.
