Good Faith Effort. To demonstrate good faith efforts to meet the Contract DBE goal, a Contractor shall, on an ongoing basis, document the steps it takes to obtain DBE participation in accordance with 49 CFR Part 26.53 and Appendix A, including but not limited to the following: 1. Conducing market research to identify small business contractors and suppliers and soliciting through all reasonable and available means the interest of all certified DBEs that have the capability to perform the work of the Contract. This may include attendance at pre-bid and business matchmaking meetings and events, advertising and/or written notices, posting of Notices of Sources Sought and/or Requests for Proposals, written notices or emails to all DBEs listed in the State’s directory of transportation firms that specialize in the areas of work desired (as noted in the DBE directory) and which are located in the area or surrounding areas of the project. Should solicit this interest as early in the acquisition process as practicable to allow the DBEs to respond to the solicitation and submit a timely offer for the subcontract. Determine with certainty if the DBEs are interested by taking appropriate steps to follow up initial solicitations. 2. Selecting portions of the work to be performed by DBEs in order to increase the likelihood that the DBE goals will be achieved. This includes, where appropriate, breaking out Contract work items into economically feasible units (for example, smaller tasks or quantities) to facilitate DBE participation, even when the Contractor might otherwise prefer to perform these work items with its own forces. This may include, where possible, establishing flexible timeframes for performance and delivery schedules in a manner that encourages and facilitates DBE participation. 3. Providing interested DBEs with detailed information about the plans, specifications, and requirements of the Contract in a timely manner to assist them in responding to a solicitation with their offer for the subcontract. Attempt to contact all potential subcontractors on the same day and use similar methods to contact them; 4. Negotiating in good faith with interested DBEs. Make a portion of the work available to DBE subcontractors and suppliers and select those portions of the work or material needs consistent with the available DBE subcontractors and suppliers, so as to facilitate DBE participation. Good Faith Effort. CONTRACTOR must demonstrate a good faith effort to include STPs, tribal clinics, and rural providers in its provider network. CONTRACTOR's compliance with this requirement must be reported on a quarterly basis using report requirements defined by HHSC. To be a network provider under this section, STPs, tribal clinics, and rural providers must agree to the provider contract requirements set out in section 15.01 of this Agreement unless exempted from a requirement by law or rule. STPs, tribal clinics, and rural providers must also agree in the contract that they will: (1) accept the standard reimbursement rate offered by CONTRACTOR to other providers for the same or similar services; (2) meet CONTRACTOR's credentialing requirements. CONTRACTOR must not require STPs to meet a different or higher credentialing standard than is required of other providers providing the same or similar services. CONTRACTOR also must not require STPs to contract with a subcontractor who requires a different or higher credentialing standard than CONTRACTOR's if the application of that higher standard results in a disproportionate number of STPs being excluded from the subcontractor; and (3) accept the same form of provider agreement that CONTRACTOR is using in its core CHIP business. Failure to demonstrate a good faith effort to include STPs, tribal clinics, and rural providers in CONTRACTOR's provider network, or failure to report efforts and compliance as required in this section are defaults under this Agreement and may result in any or all of the remedies included in Article 20 of this Agreement.
Good Faith Effort. Conditional Employees shall make a good faith effort to obtain and maintain their certification as paramedics. A Conditional Employee’s failure to make, in the Fire Chief’s judgment, a good faith effort to obtain or maintain their paramedic certification shall constitute cause for termination. If a non-probationary Conditional Employee believes that the Fire Chief’s determination that the Conditional Employee has not made a good faith effort to obtain/maintain certification as an EMT-B or as an EMT-P is arbitrary and unreasonable, the non-probationary Conditional Employee may file a grievance over this issue in accordance with Article VI of this Agreement. A non-probationary employee who makes, in the Fire Chief’s judgment, a good faith effort but nevertheless fails to successfully obtain/maintain EMT-B certification shall be given one additional opportunity to obtain/maintain same. Similarly, a non-probationary Conditional Employee who makes, in the Fire Chief’s judgment, a good faith effort but nevertheless fails to successfully obtain/maintain his paramedic certification shall be given one additional opportunity to retake the necessary courses (provided one of the resource hospitals which the Department has used in the past accepts the employee for such retraining), and/or retake examinations the number of times authorized by law (provided the appropriate representative of the applicable resource hospital has approved the retaking of the examination). If such employee obtains or retains certification as an EMT-B or EMT-P, the Village will refund to the employee upon submission of appropriate receipts evidencing payment for the direct costs for the retraining, such as tuition, fees, books, etc., provided that expenses for mileage and meals shall not be reimbursed. Time spent in such retraining outside the Conditional Employee’s regularly scheduled hours of work shall not be considered compensable time for any purpose. A non- probationary Conditional Employee’s failure to obtain or maintain certification as an EMT-B or EMT-P, whichever is applicable, after being given one additional opportunity shall constitute cause for termination.
