Goods or Services. Upon the occurrence of any one of the following events, Nielsen shall have the unrestricted right, at its option, to cancel and terminate this Purchase Agreement without cost or liability to Nielsen: (1) Seller's insolvency or inability to meet obligations as they become due;
Goods or Services. If Buyer is enjoined from using the Goods or Services because of any infringement claim, Seller shall at its expense and in the following sequence: (a) obtain for Buyer the right to continue using such infringing Goods and Services; (b) replace such infringing Goods and Services with non-infringing but equivalent Goods and Services; or (c) modify the Goods and Services so that they are non- infringing but equivalent.
Goods or Services. D.1. Compliance with Law. Supplier will comply with all laws and regulations applicable to its performance hereunder, including applicable laws and regulations of the United States, the jurisdiction in which Supplier performs under this Purchase Order or in which the goods are manufactured, assembled or obtained, and other jurisdictions to which the Supplier is otherwise subject. Without limiting the foregoing:
Goods or Services. Trades on the two markets take place either on an allocated or unallocated basis. Where a market member owns metal and it is identifiable stock, then that metal is treated as a good for the purposes of VAT (the ingots numbered one to ten are mine). Where the metal is part of a larger stock (there are 50 ingots and 10 belong to me), then the supply of the metal is treated as a service for VAT. Investors acquire an interest in the metals, although in most situations, physical delivery will not occur and in 95% of trades, trading in unallocated metals will be undertaken.
Goods or Services purchases of goods or services from affiliates of the Ancillary Services Provider shall be on arm's length terms.
Goods or Services. 12.1 The Supplier represents, warrants and undertakes to ICG that Goods (including any material which forms part of the Goods) and/or the Services (as applicable): (i) will be new on delivery to ICG; (ii) will be of merchantable quality; (iii) will be fit for the purposes stated in these Terms and for the purposes for which the Goods or Services are ordinarily used; (iv) will conform to any description or any sample provided by the Supplier; (v) will conform to the requirements set out in these Terms and the Purchase Order; (vi) will be free from any defects in materials, manufacture and workmanship; (vii) will conform to any applicable Australian Standards; and (viii) will be fit for the purpose for which they are supplied. 12.2 Without limiting any of its other obligations under these Terms, the Supplier will repair or replace any Goods or Services which demonstrate any defect or non-conformity with the requirements of these Terms during the warranty period specified in the Purchase Order, or where no period is specified, the period stated by the Supplier as the warranty period, at no additional cost to ICG. 12.3 Such repair or replacement will be conducted within a mutually agreed timeframe, which is not to exceed 30 days from the date of occurrence of the defect or non-conformity, unless agreed by ICG. 12.4 The Supplier is responsible for arranging delivery to its premises from the site where the Goods are located, of any Goods required for warranty repair, and will meet all of the costs of such delivery, including packaging and freight. 12.5 If the Supplier fails to repair or replace any defective or non- conforming Goods or Services as required under clause 12.2, ICG may itself repair or replace the defective or non-conforming Goods or Services, or procure a third party to repair or replace the defective or non-conforming Goods or Services. 12.6 The Supplier will pay ICG’s costs and expenses incurred in repairing or replacing (or procuring repair or replacement of) Goods or Services under clause 12.5.

Goods or Services. Supplier shall provide the Goods or Services as specified in the Purchase Order (PO) attached hereto and incorporated into this Agreement. Supplier shall diligently provide the Goods or Services under this Agreement and shall complete the delivery of Goods or Services described in this Agreement in a timely manner, consistent with the Standard of Care identified in Article 2, and on the agreed upon delivery date(s), unless the parties mutually agree to a later delivery or completion date. Completion shall mean completion of all work related to the Services. In the performance of Supplier’s work, Supplier agrees to maintain such coordination with the City as may be requested and desirable, including primary coordination with the City’s designated and approved purchaser. Title and risk of loss for Goods shall pass to the City upon delivery and acceptance of the Goods.
