Common use of Governing Law; Amendments Clause in Contracts

Governing Law; Amendments. This Agreement, the Note, the Security Agreements and all of the other Transaction Documents shall be governed by and construed in accordance with the internal laws of the State of Missouri, and this Agreement and the other Transaction Documents may not be changed, nor may any term, condition or Event of Default be waived, modified, or discharged orally but only by an agreement in writing, signed by the party against whom enforcement of any waiver, change, modification or discharge is sought.

Governing Law; Amendments. This Agreement, the Note, the Security Agreements and all of the other Transaction Documents shall be governed by and construed in accordance with the internal laws of the State of Missouri, and this Agreement and the other Transaction Documents may not be changed, nor may any term, condition or Event of Default be waived, modified, or discharged orally but only by an agreement in writing, signed by the party against whom enforcement of any waiver, change, modification or discharge is sought. To the extent of any inconsistencies between the terms and provisions of this Agreement and the other Transaction Documents, the terms and provisions of this Agreement shall govern and control.
