Governing Law and Waiver. This Agreement is governed by and construed in accordance with federal law. In addition, except as expressly stated otherwise in this Agreement or as required by applicable law, and to the extent not inconsistent with federal law, this Agreement is governed by the internal laws of Maryland. No term of this Agreement is waived by us the right to a jury trial in any dispute concerning an account.
Governing Law and Waiver. The Borrower understands and agrees that (1) this Agreement will be governed by and interpreted in accordance with the laws of the State of California; and (2) the Borrower waives its right, under Section 1808.21 of the California Vehicle Code, to the confidentiality of its residence address in the records of the Department of Motor Vehicles, and the Borrower authorizes the Bank to request its residence address from the Department of Motor Vehicles if required by the Bank in enforcing this Agreement.
Governing Law and Waiver. The laws of the State of New York shall govern the construction, enforceability, and interpretation of this Agreement. The parties intend this Agreement to supplement, but not displace, their respective rights and responsibilities under the laws of the State of New York, as amended from time to time. The failure of either party to insist upon performance of any provision of this Agreement or to pursue his or its rights hereunder shall not be construed as a waiver of any such provision or the relinquishment of any such right.

The provisions of this Security Agreement shall be governed by, and construed in accordance with, the laws of the Province of Alberta and the federal laws of Canada applicable therein, without reference to applicable conflict of law principles. Grantor hereby waives personal service of any and all process upon it and consents that all such service of process may be made by registered mail (return receipt requested) directed to the Grantor and service so made shall be deemed to be completed five (5) days after the same shall have been mailed. Nothing contained herein shall affect the right of lender to serve legal process by any other manner permitted by law. The parties hereto hereby waive trial by jury (if applicable) in any action, proceeding, claim or counterclaim, whether in contract or tort, at law or in equity with respect to, in connection with, or arising out of this Security Agreement, other financing agreements, the obligations of Grantor and Grantor, the collateral, or any instrument, document or guarantee delivered pursuant hereto or to any of the foregoing, or the validity, protection, interpretation, administration, collection or enforcement hereof or thereof, or any other claim or dispute hereunder or thereunder. Grantor agrees that it will not assert against lender any claim for consequential, incidental, special, or punitive damages in connection with this Security Agreement or the transactions contemplated hereby or thereby. No officer of lender has authority to waive, condition, or modify this provision.

Mere lapse of time is not a waiver of any breach of this MSA or Other Agreements. Our waiver of any breach does not affect Our right to enforce any of Our rights later and does not modify this MSA or Other Agreements. You and We agree to waive the right to a jury trial in any dispute concerning an Account.
