Government Support. In the event that the TLD was delegated to Registry Operator pursuant to the consent of a governmental entity to use a geographic name related to the jurisdiction of such governmental entity, the parties agree that, notwithstanding any provision contained in this Agreement, in the event of a dispute between such governmental entity and Registry Operator, ICANN may implement the order of any court sitting in such jurisdiction in favor of such governmental entity related to the TLD.
Government Support. No funding or facilities of any Governmental Authority, or funding or facilities of a university, college, other educational or academic institution or research center, or funding from Third Parties was used in the development of the Company Products or Company IP. No Governmental Authority, university, college, other educational institution or research center has any claim or right in or to the Company IP or Company Products. No current or former employee or independent contractor of the Company or any of its Subsidiaries, who was involved in, or who contributed to, the creation or development of any Company Products or Company IP, has performed services for any Governmental Authority, a university, college, or other educational institution, or a research center, during a period of time during which such employee or independent contractor was also performing services for the Company or any Company Subsidiary.
Government Support.
6.1 It is recorded that the Minister of Energy has determined in terms of section 34 of the ERA that:
6.1.1 new generation capacity is needed to ensure the continued uninterrupted supply of electricity;
6.1.2 such capacity and electricity shall be made available and generated from the renewable energy power generating facilities under the IPP Programme; and
6.1.3 the capacity and electricity thus produced may only be sold to and must be purchased by the Buyer.
6.2 In order to purchase the Energy Output generated by the Facility, the Buyer will have to and has agreed to enter into the PPA with the Seller simultaneously with the signature of this Agreement. The PPA contains several obligations for payment in respect of Commercial Energy, Early Operating Energy and/or Deemed Energy.
6.3 The DoE agrees that if in the case of payment of the Early Operating Energy Payment, Commercial Energy Payment, Deemed Energy Payment, Use of System Charges, any payment in respect of a PPA Compensation Event or Unforeseeable Conduct or any payment contemplated in clause 29 (Third Party Indemnity) of the PPA ("PPA Payment"):
6.3.1 the amount is due and payable by the Buyer pursuant to the PPA and has not been paid in full by the Buyer within twenty five (25) Business Days of the Due Date;
6.3.2 the PPA Payment is not consequent to termination of the PPA as a result of a Seller Default or Corrupt Act;
6.3.3 the PPA Payment amount is not in dispute;
6.3.4 the Seller has delivered a demand for payment of the PPA Payment to the Buyer in accordance with the provisions of the PPA, and despite such demand, such amount is not paid; and
6.3.5 the amount has not, despite the diligent efforts of the Seller and/or the Lenders (which, for the avoidance of doubt, shall not require the institution of legal proceedings against the Buyer), been recovered from the Buyer within three (3) Months from the due date for such payment, then the DoE will make payment of the PPA Payment (together with any interest accrued thereon as may be due and payable in terms of and at the rate and for the period specified in the PPA or the Direct Agreement) to the Seller and/ or Lenders within forty (40) Business Days on first written demand of the Seller or the Lenders for payment.
6.4 The DoE will ensure that any payment or payments made pursuant to clause 12 (Compensation on Termination for Government Default) shall be made promptly following promulgation of the first appropriation bill occurring after delive...
Government Support. We continually take advantage of the available government grants for electrification, smart grid initiatives and pilot projects e.g. AMSCOA.
Government Support. (a) As determined by the General Partner, the Partnership and/or the Partners shall apply for and seek to obtain such financial support (whether in the form of grants, loans, guarantees or otherwise) as may be available from various levels of government (collectively, “Government Support”).
(b) Each Partner shall cooperate in all applications for, and administration of, Government Support (whether the application is in the name of a Partner or in the name of the Partnership), including without limitation providing all such information as may be required by relevant governmental authorities, provided that no Partner shall be required to disclose for such purpose sensitive commercial or technical information (and in particular Enerkem shall not be required to disclose the Enerkem Technology) without appropriate safeguards.
(c) The fact that a particular form of Government Support has been applied for in the name of one Partner and not the other shall not mean that the funds received shall be considered a capital contribution by the Partner which has made the application, and in particular shall not affect the respective Interests of the Partners.
Government Support. In relation to any and all Exit Transactions (as defined in the next paragraph) involving 5% or more of the Cameco Centerra Shares as at the date of this Agreement on New Terms, the Government shall provide Cameco with written confirmation in the Agreed form of the Government's support of the Kumtor Project and Centerra on the terms set forth in the Restated Project Agreements and the Agreement on New Terms for the benefit of, and reliance by, potential acquirers of Cameco Centerra Shares who (in the case of strategic or trade acquirers) have confirmed in writing their interest in acquiring Cameco Centerra Shares in an Exit Transaction. For the avoidance of doubt, any such written confirmation shall expressly stale that it is provided to confirm support of the Kumtor Project and Centerra and shall not create a separate cause of action for any potential third party acquirer acting in reliance on such written confirmation provided by the Government.
Government Support. Direct support = Support provided directly to the shipbuilder or ship repairer. Indirect support = Support where the benefit is passed or may reasonably be expected to be passed to the shipbuilder or ship repairer, through a shipowner or other third parties.
