Government Undertakings a. The Government, through its representative, namely TDA shall coordinate the implementation of the ICP Project(s) in accordance with the Malaysian ICP Management Framework as specified in the ICP Policy and shall provide the necessary direction of the ICP Project as and when required. b. The Government, through its representative, namely Technology Depository Agency (TDA) which the role and functions are specified in the ICP Policy shall provide all necessary assistance to the Supplier to ensure the smooth implementation of the ICP Projects and facilitate the Supplier with the necessary solution subject to the provisions of the ICP Policy and this Agreement. c. In the event of changes in the ICP Policy, the Parties with the guidance of the Government shall undertake reasonable and practical remedies to overcome any disputes arising from the changes. d. Provided the Supplier has performed its obligations in accordance with the provisions of this Agreement and the ICP Policy, the Supplier shall not be responsible for the failure of any ICP Project if the Recipients of the ICP Projects fail to perform their material undertakings and obligations in relation to such ICP Project.

Government Undertakings. 1. The Government shall provide to the Office and its officials, experts on mission, other persons performing services for the Office and its personnel recruited locally and assigned to hourly rates throughout [insert country] such security as is required and requested for the effective performance of their activities. To this end, the Appropriate authorities shall ensure the security and protection of the Office and its officials, experts on mission, persons performing services and personnel recruited locally and assigned to hourly rates and exercise diligence to ensure that the tranquility of the Office is not disturbed by the unauthorized entry of persons or groups of persons from outside or by disturbances in its immediate vicinity. 2. The Government undertakes to respect the status of the Office and its officials, experts on mission, persons performing services and personnel recruited locally and assigned to hourly rates, and to ensure that anyone associated with the Office is not subjected in any way to abuses, threats, reprisals, or legal prosecution by reason of their status. 3. The Government, in accordance with relevant United Nations principles and practices and the present Agreement, shall respect the complete freedom of expression of all participants of seminars, training courses, symposiums, workshops and similar activities organized by the Office, to which the Convention shall be applicable. All participants and persons performing functions in connection with the seminars, training courses, symposiums, workshops, and similar activities organized by the Office shall enjoy such privileges and immunities and facilities as are necessary for the independent exercise of their participation and functions. The participants shall be immune from legal process in respect of words spoken in connection with such seminars, training courses, symposiums, workshops and similar activities. 4. In all those cases where this Agreement refers to privileges and immunities and rights of the Office, its officials, experts on mission, other persons performing services for the Office and personnel recruited locally and assigned to hourly rates, as well as to the facilities that the Government undertakes to grant, the Government shall ensure that the Appropriate authorities respect such privileges, immunities and rights and grant the facilities mentioned and shall hold them harmless in respect of claims or liabilities arising from operations under this Agreement. 5. Government Undertakings. (a) Obtain all requisite approvals for purposes of entering into this Agreement and the Related Agreements. (b) Execute the Related Agreements. (c) Procure the approval of the JVC as the local company to which the Government can issue its mineral rights over the NPA. (d) Procure the issuance of a Special Mining Licence (SML) over the NPA to the JVC. (e) Collaborate with LNC to establish the JVC and the JVC Subsidiaries. (f) Procure that the JVC and the JVC Subsidiaries may not be obligated to list its shares in the Dar es Salaam Stock Exchange. (g) Assist the JVC to acquire suitable land for the construction of the MMPF within the Kahama Township. (h) Upon commission of the Nickel Project and MMPF and commencing of mineral production, the JVC shall be entitled to repay shareholder loans or pay dividends or returns of capital to the Government , LNC and to offshore shareholders and Affiliates of JVC into their respective accounts outside Tanzania. (i) The Government agrees to procure that the bank accounts of the JVC opened in Tanzania shall not be subject to administrative attachment orders for purposes of enforcement of taxes, except where a court decree is issued to that effect after final completion of judicial proceedings. (j) The Government agrees that none of the transactions or steps involved in the entry into force and implementation of this Agreement and the Related Agreements including the issue, distribution or transfer to the Government of the Free Carried Interest shares or its proposed interest in the Shareholder Loans, shall at any time be subject to any tax in Tanzania.

  • Government Use If the Software, Documentation, Materials and any other Licensor services are being or have been acquired with U.S. Federal Government funds, or Customer is an agency, department, or other entity of the United States Government ("Government"), the use, duplication, reproduction, release, modification, disclosure, or transfer of the Software or any related documentation of any kind, including technical data, manuals or Materials, is restricted in accordance with Federal Acquisition Regulation 12.212 for civilian agencies and Defense Federal Acquisition Regulation Supplement 227.7202 for military agencies. The Software, Materials, and any Licensor services are COMMERCIAL ITEMS AS DEFINED BY THE FEDERAL ACQUISITION REGULATION. Use of the Software and Materials by the Government is further restricted according to the Agreement and any amendment hereto.
