Governmental Authorizations and Licenses. The Sinovac ------------------------------------------- Shareholder has, or will have upon Closing (as described in Article III herein), all licenses, franchises, permits, and other governmental authorizations that are legally required to enable it to conduct its business in all material respects as conducted. No authorization, approval, consent, or order of, or registration, declaration, or filing with, any court or other governmental body is required in connection with the execution and delivery by the Sinovac Shareholders of this Agreement and consummation by the Sinovac Shareholders of the transaction contemplated hereby.

Governmental Authorizations and Licenses. InConcert is the holder of ---------------------------------------- all licenses, authorizations, permits, concessions, certificates and other franchises of any Governmental Entity required to operate its business, the failure to hold which could reasonably be expected to have a Material Adverse Effect (collectively, the "Licenses"). The Licenses are in full force and effect. Except in any such case as could not reasonably be expected to have a Material Adverse Effect, there is not now (a) any pending action, suit, proceeding against InConcert before any Governmental Entity with respect to the Licenses, (b) to the knowledge of InConcert, any pending or threatened investigation or any threatened action, suit, proceeding against InConcert before any Governmental Entity with respect to the Licenses or (c) any issued or outstanding notice, order or complaint with respect to the violation by InConcert of the terms of any License or any rule or regulation applicable thereto.

Governmental Authorizations and Licenses. Schedule 3.20 contains a list of all authorizations and licenses by a Governmental Body held by the Company and the Business Subsidiary. The Company and the Business Subsidiary are the holders of all licenses, authorizations, permits, concessions, certificates and other franchises of any Governmental Body required to operate the Business, except where the failure to hold such licenses, authorizations, permits, concessions, certificates or franchises would not be material to the Business (collectively, the "LICENSES"). The Licenses are, and subject to obtaining consents pursuant to the Asset Purchase Agreement, will be after giving effect to the Transactions, in full force and effect. There is not now pending, and to the knowledge of the Company, there is not threatened in writing, any action, suit, investigation or proceeding against the Company, the Business Subsidiary or IITRI (with respect to the Business) before any Governmental Body with respect to the Licenses, nor is there any issued or outstanding written notice, order or complaint with respect to the violation by the Company, the Business Subsidiary or IITRI (with respect to the Business) of the terms of any License or any rule or regulation applicable thereto.

The PerfectMarket Licenses are in full force and effect. There is not now pending, or to the best knowledge of PerfectMarket is there threatened in writing, any action, suit, investigation or proceeding against PerfectMarket before any Governmental Entity with respect to the Licenses, nor is there any issued or outstanding notice, order or complaint with respect to the violation by PerfectMarket of the terms of any License or any rule or regulation applicable thereto.

Governmental Authorizations and Licenses. The Company possesses all material consents, licenses, permits, grants or other authorizations issued to the Company by a Governmental Entity (i) pursuant to which the Company currently operates or holds any interest in any of its properties or (ii) which is required for the operation of its business or the holding of any such interest therein (collectively called "COMPANY AUTHORIZATIONS"), which Company Authorizations are in full force and effect.

There is not now pending, or to the best knowledge of Telegen, is there threatened, any action, suit, investigation or proceeding against Telegen before any Governmental Entity with respect to the Telegen Government Licenses, nor is there any issued or outstanding notice, order or complaint with respect to the violation by Telegen or Sub of the terms of any Telegen Government License or any rule or regulation applicable thereto, except to the extent that any such action would not be reasonably likely to have a material and adverse effect on the Business Condition of Telegen.

Governmental Authorizations and Licenses. To Purchaser's knowledge, Purchaser has all material licenses, orders, authorizations, permits, concessions, certificates and other franchises or analogous instruments of any governmental entity required by applicable law to operate its business (collectively, the "Purchaser Government Licenses") which Purchaser Government Licenses are in full force and effect, and is in compliance with the terms, conditions, limitations, restrictions, standards, prohibitions, requirements and obligations of such Purchaser Government Licenses except to the extent failure to hold and maintain such Purchaser Government Licenses or to so comply would not be reasonably likely to have a Material Adverse Effect. Except for compliance with federal and state securities and corporation laws, as hereinafter provided, no authorization, approval, consent, or order of, or registration, declaration, or filing with, any court or other governmental body is required in connection with the execution and delivery by the Shareholders of this Agreement and consummation by the Shareholders of the transaction contemplated hereby.
