Governmental Filings and Authorizations. No filing, authorization or approval, governmental or otherwise, is necessary to enable Sublicensee to enter into, and to perform each of its obligations under, this Agreement except for such filings as may be required to comply with federal and state securities laws which filings, if any, have been made prior to the date hereof.
Governmental Filings and Authorizations. In connection with the execution and delivery by each of the EL Entities or any of its Affiliates of this Agreement and the other Transaction Agreements to which any of them will be a party, or the performance by each of the EL Entities or any of its Affiliates of any of its obligations under this Agreement and the other Transaction Agreements to which any of them is or will be a party, neither of the EL Entities and nor their Affiliates are required (a) to make any Filing with any Governmental Authority, or (b) to obtain any Authorization.
Governmental Filings and Authorizations. In connection with the execution and delivery of this Agreement by Seller, or the performance by Seller of any of Seller’s obligations in this Agreement or any other Transaction Agreement to which Seller is or is to become a party, Seller is not required (a) to make any Filing, or (b) to obtain any Authorization, other than those Authorizations already obtained.
Governmental Filings and Authorizations. (a) Buyer shall, and Sellers shall cause the Companies to: (i) make or cause to be made all filings required of each of them or any of their respective Affiliates under the HSR Act with respect to the Contemplated Transactions as promptly as practicable and, in any event, within five (5) Business Days after the date of this Agreement, (ii) comply at the earliest practicable date with any request under the HSR Act or other Antitrust Laws for additional information, documents, or other materials received by each of them or any of their respective Affiliates from the Federal Trade Commission (“FTC”), the Department of Justice or any other Governmental Authority in respect of such filings or such transactions, and (iii) cooperate with each other in connection with any such filing (including, to the extent appropriate and permitted by applicable Law, providing copies of all such documents to the non-filing Parties prior to filing and considering all reasonable additions, deletions or changes suggested in connection therewith) and in connection with resolving any investigation or other inquiry of any of the FTC, the Department of Justice or other Governmental Authority under any Antitrust Laws with respect to any such filing or any such transaction. Each Party shall use its reasonable best efforts to furnish to each other all information required for any application or other filing to be made pursuant to any applicable Law in connection with the Contemplated Transactions.; provided, however, that Buyer shall have sole responsibility for (A) all strategy and timing decisions relating to the obligations set forth in Section 6.03 and (B) all substantive content of all written and oral communications to any Governmental Authority. Any Party may, as it deems advisable and necessary, reasonably designate any competitively sensitive material provided to the other Parties under this Section 6.03 as “outside counsel only.” Such materials and the information contained therein shall be given only to the outside legal counsel of the recipient and will not be disclosed by such outside counsel to employees, officers, or directors of the recipient, unless express written permission is obtained in advance from the Party disclosing the materials. Buyer shall be responsible for the payment of the amount of all filing fees under the HSR Act.

Except for filings required by Parent under the Exchange Act, no Purchaser Party is required, in connection with the execution and delivery of this Agreement, or the compliance or performance by such Purchaser Party with any of its obligations in this Agreement or any other Related Agreement to which such Purchaser Party is or is to become a party, (i) to make any Filing with any Governmental Authority, or (ii) to obtain any Authorization.

Except for such Filings that have already been made and Authorizations that have already been obtained, in connection with the execution and delivery of this Agreement by Chain Bridge, or the performance by Chain Bridge of any of its obligations in this Agreement or any other Transaction Agreement to which Chain Bridge is or is to become a party, Chain Bridge is not required (a) to make any Filing with any Governmental Authority, or (b) to obtain any Authorization.
Governmental Filings and Authorizations. Except as set forth in Schedule A and for such Filings that have already been made and Authorizations that have already been obtained, in connection with the execution and delivery of this Agreement by Midwest Holdings, or the performance by Midwest Holdings of any of the its obligations in this Agreement or any other Transaction Agreement to which Midwest Holdings is or is to become a party, Midwest Holdings is not required (a) to make any Filing with any Governmental Authority, or (b) to obtain any Authorization.
Governmental Filings and Authorizations. Except for such Filings that have already been made and Authorizations that have already been obtained, in connection with the execution and delivery of this Agreement by the Manager, or the performance by the Manager of any of its obligations in this Agreement and any Transaction Agreement to which it is or is to become a party, the Manager is not required (a) to make any Filing with any Governmental Authority, or (b) to obtain any Authorization.
Governmental Filings and Authorizations. Except as set forth in Schedule A and such Filings that have already been made and Authorizations that have already been obtained, in connection with the execution and delivery of this Agreement by the Company, or the performance by the Company of any of its obligations in this Agreement or any other Transaction Agreement to which it is or is to become a party, the Company is not required (a) to make any Filing with any Governmental Authority other than pursuant to Section 1.12, or (b) to obtain any Authorization.
