Grant Activities. The Host Organisation must conduct the Grant Activities and ensure the Research Personnel conduct the Grant Activities:
(a) in a collaborative and professional manner;
(b) in compliance with all reasonable directions provided to the Host Organisation by Snow Medical;
(c) in compliance with all applicable laws and regulations; and
(d) ethically and in accordance with the Code.
Grant Activities. In furtherance of the Grant, the specific terms, conditions, activities, and outcomes to which each party agrees are described in the terms sheet set forth as Exhibit A (“Terms Sheet”).
Grant Activities activities the Performing Party has agreed to perform under this contract that are detailed in the Scope of Work.
Grant Activities. Grantee must use the Grant Funds for Allowable Expenses, as set forth in Exhibit A. (the “Program”).
Grant Activities. While the Parties anticipate that the Melioidosis Program will be supported predominantly by Government Funding, Soligenix will not apply for or obtain grants, whether government or private, to fund activities under the Melioidosis Program, or use funds from any such grant to support activities under the Melioidosis Progam, without obtaining approval in accord with this Section 4.12. The provisions and obligations of any prospective grant shall be presented in full by Soligenix to the JSC and IPC before any grant application submission and before any grant acceptance by Soligenix as soon as is reasonably practical for the purpose of allowing the JSC and IPC to review the terms and scope of grant, to determine, within each such Committee’s respective authority, whether such grant (or related funds) would comply with the relevant terms and obligations of this Agreement, and to approve or reject such application for or acceptance of such grant (or use of such grant funds). Intrexon shall not unreasonably use its casting vote at the IPC to withhold its approval of relevant Government Funding grants or contracts to the extent that such grants or contracts do not (i) unreasonably restrict Intrexon’s rights to own or use any Inventions developed in the course of the Melioidosis Program consistent with Article 6 of this Agreement, or (ii) impose unreasonable restrictions upon Intrexon’s business or platform technology programs. Grant Activities. 3.1. Grant funds must be used solely for the purposes described in the Grant Application, a copy of which is attached hereto as Exhibit B, and incorporated herein by reference. Grantee acknowledges, represents and warrants that no Grant funds will be used for religious, lobbying, political activities or to support litigation.
3.2. Grant funds must be expended in accordance with the budget attached as Exhibit
C. Grantee must obtain the prior approval of AccessLex to transfer more than 10% of the funds included any line item in such budget to any other line item(s); in no event will the total award amount be increased as a result of a shift in funds between budget line items.
3.3. Grantee shall submit narrative and financial reports (each, a “Report”) in accordance with the Disbursement and Reporting Schedule attached hereto as Exhibit A. Reports, which shall follow the reporting templates provided by AccessLex, shall describe the status of the project and the programs conducted by the Grantee and expenditures made with the Grant Funds. Reports shall also report on the Grantee’s compliance with the terms of this Agreement. AccessLex may discontinue funding if Reports fail to demonstrate compliance with the terms of the Grant, including, but not limited to, progress toward Grant deliverables.
3.4. Grantee shall provide additional Reports from time to time as AccessLex may request to monitor performance of Grantee’s obligations under this Agreement.
3.5. Grantee shall provide prompt notification of any development that might affect Grantee’s ability to carry out its obligations under this Agreement, including but not limited to, Grantee undergoing a merger, division, dissolution or other corporate reorganization; becoming subject to a proceeding under the Bankruptcy Code or other law relating to insolvency or making an assignment for the benefit of creditors; or becoming subject to an investigation or proceeding brought by any regulatory agency; or receiving notice of any litigation or other legal action relating to the Grant.
Grant Activities. Recipient will use Grant Funds to conduct the grant activities set forth in Exhibit A (the “Grant Activities”), which is attached to and incorporated into this Agreement. Recipient’s receipt of Grant Funds is conditioned on Recipient’s compliance with Exhibit A, including but not limited to any performance measures set forth in Exhibit A.
Grant Activities. A2.2.1 The project
(a) In administering the projects under this Agreement, You must: ensure that the project described in the Grant Offer is implemented in accordance with this Agreement, and in accordance with the response to ‘Assessment Criteria’ and within the broad structure of the proposed ‘Project Cost’ in the application, as well as any Special Conditions; and comply with any other requirements or conditions imposed by Us in connection with any Grant covered by this Agreement.
A2.2.2 Grant funds
(a) We will not pay more than the approved Grant Offer under any circumstances. If you incur extra costs, You must meet them.
(b) Grant funds can only be used for eligible expenditure items as described in the Grant Guidelines.
(c) Grant funds may be indexed annually. Further information is available on the ARC website.
A2.2.3 Grant funds must not be used for:
(a) purposes specifically excluded in the Grant Guidelines;
(b) purposes specifically excluded in this Agreement;
(c) items excluded as a Special Condition in the Grant Offer; or
(d) any research and/or activities for which other financial assistance from the Commonwealth has been, is being, or is intended to be provided. We must be notified if any similar research and/or activity is supported by the Commonwealth during the Project Activity Period.
