Grounds for Suspension a. The Parties agree that any of the following are grounds for ▇▇▇▇▇ County, the DCSO, and/or the Dispatch Center to suspend the Company from one or more of the Tow Truck Rotation Lists for a minimum of five business days up to the entire term of this Agreement, upon sending the Company a written notice of suspension, which will preclude the Company from providing services under this Agreement until the period of suspension has expired:
1) A breach or violation or this Agreement and/or a violation of laws, rules, regulations, or otherwise by the Company and/or the Company’s representatives;
2) The commencement of an investigation by one or more federal or state agencies or entities into alleged violations of law, rule, regulation, or otherwise by the Company or the Company’s Representations;
3) The commencement of an investigation by ▇▇▇▇▇ County, the DCSO, and/or the Dispatch Center into alleged violations of this Agreement or law, rule, regulation, or otherwise by the Company and/or the Company’s representatives or of a written complaint submitted against the Company and/or the Company’s representatives to ▇▇▇▇▇ County, the DCSO, and/or the Dispatch Center;
4) A second written notification from the Dispatch Center to the Company for the same or similar offense within the term of this Agreement that is a violation of one or more of the terms or provisions of this Agreement and/or a violation of one or more laws, rules, regulations, or otherwise;
5) The lapse or expiration of any of the insurance policies required under this Agreement during the term of this Agreement and without a renewal insurance policy that satisfies the terms of this Agreement;
6) The Company’s failure to timely respond to a scene under this Agreement; and
7) The Company’s failure to maintain and retain accurate and complete records as required by this Agreement and applicable law, rule, regulation, or otherwise.
b. The DCSO and the Dispatch Center shall have sole discretion regarding the length of any suspension imposed upon the Company pursuant to the provisions of this Agreement.
c. The Company shall comply with all of the terms of the suspension (i.e. ceasing particular practices or conduct, restitution to victims, and fulfillment of court orders) before the Company may be considered for reinstatement under this Agreement.

Grounds for Suspension. Frontex may, at any time during the implementation of the Agreement, suspend the pre-financing payments, interim payments or payment of the balance:
(a) if Frontex has evidence that the beneficiary has committed irregularities, fraud or breach of obligations in the award procedure or while implementing the Agreement;
(b) if Frontex has evidence that the beneficiary has committed systemic or recurrent irregularities, fraud or serious breach of obligations in other grants funded by the Union or the European Atomic Energy Community (‘Euratom’) awarded to the beneficiary under similar conditions and such irregularities, fraud or breach of obligations have a material impact on this grant; or
(c) if Frontex suspects substantial irregularities, fraud or breach of obligations committed by the beneficiary in the award procedure or while implementing the Agreement and needs to verify whether they have actually occurred.
Grounds for Suspension. Orixcom may, without terminating this Agreement and without incurring any liability, immediately suspend all or part of the Services it provides to Customer—
11.1.1. If there is a Planned Outage, for the duration of the Planned Outage; or Orixcom needs to carry out Emergency Works, for the duration of the Emergency Works;
11.1.2. If any undisputed invoiced Charges are past due;
11.1.3. If Customer has ceased to do business, become insolvent, entered receivership or bankruptcy proceedings or any other proceedings for the settlement of its debts, or undergoes or is subject to any analogous acts or proceedings under foreign law; and
11.1.4. If Orixcom is obliged to do so to comply with a ruling, direction, directive, determination, decision/interim decision, order, instruction or request of a regulator, government agency, emergency services organisation or other competent authority; or Orixcom has reasonable grounds to consider that continued use of the Service by Customer or End Users violates applicable law; or suspension of the Service is necessary to prevent or protect against fraud, or otherwise protect persons or property.

12.3.1 the Grantee applying the Funding for purposes other than the Purpose or failing to promote the use of the Funding in accordance with Schedule 3;
12.3.2 the Grantee failing to provide Reports in accordance with clause 7.1; or
12.3.3 a dispute or difference exists between any of the parties;
12.3.4 the Grantee fails, or is not ready, willing or able, to achieve a milestone set out in Schedule 2;
12.3.5 the Grantee misuses any of the Resources or any premises of the VBA; or
12.3.6 the Grantee is otherwise in breach of this Agreement.

i. Participant violates the Code of Conduct;
ii. When Participant behaves in a way that endangers himself, herself or others;
iii. If Participant is disciplined by any civil or criminal authorities, Accommodation or conveyance Suppliers;
iv. If Protocolo Tours, in its sole discretion, determines that Participant's conduct violates Protocolo Tours’ Code of Conduct or if it determines that Participant’s conduct is incompatible with the interests, safety or welfare of other Participants or Service providers/Vendors or their employees. If the participant does not respect any of the Code of Conducts explained before, we will contact the Parent or Legal Guardian for them to look for the participant in the closes city where they can meet. If the participant occurred in any extra Cost due of that, it would be their responsibility.
