Guaranteed Savings Reconciliation. Guaranteed Savings will be determined in accordance with the methodology(s), operating parameters, formulas, and constants as described in this Attachment D and the exhibits, using the M&V Services as defined herein, and/or additional methodologies defined by Honeywell that may be negotiated with Customer at any time. Upon contract execution, Customer agrees to and accepts the standard methods that Honeywell uses to conduct M&V Services, including, but not limited to, RIM and Option C Utility Data Analysis (see Part C for RIM and Option C definitions as further detailed in the Measurement and Verification Plan in this Attachment D and the exhibits), as well as cost avoidance calculations, as inferenced by, referenced by or included in the energy calculations developed by Honeywell and attached hereto as an Exhibit D-5: Engineered Cost Avoidance Calculations.

Pre-retrofit model of energy consumption or demand 2. Post-retrofit measured energy consumption 3. Post-retrofit measured demand and time-of-use 4. Post-retrofit energy and demand charges 5. Sampling plan
Guaranteed Savings Reconciliation. The guarantee term (and first year PASS Agreement) will commence on the first day of the first utility billing period following the month in which ESCO delivers to Customer the Project Warranty Letter. This date is referred to as the Savings Guarantee Commencement Date. Within sixty (60) days of receiving pertinent utility bills after the Savings Guarantee Commencement Date and each anniversary of the Savings Guarantee Commencement Date, and within sixty (60) days of receiving pertinent utility bills after the end of the guarantee term, ESCO will determine the Total Dollar Savings for the immediately preceding period. The savings generated during the period from the “Date of Commencement” to the Savings Guarantee Commencement Date will be called “Implementation Period Savings”. Implementation Period Savings will be added to the Savings Calculation made on the first anniversary of the Savings Guarantee Commencement Date for reconciliation purposes. In the event that additional savings above guarantee are achieved in any year during the guarantee period, these savings can be used to offset shortfalls in savings in other years. If ESCO has written a savings shortfall check to Customer, and later Total Dollar Savings exceed the annual guarantee amount, Customer will reimburse ESCO up to the amount of ESCO'S shortfall check, to the extent that the shortfall is made up by savings in excess of the guarantee.
