Head Contract. 8.1. The Subcontractor acknowledges that the Head Contract requires that this Agreement adequately protects the interests of the Client and ensures compliance with the Client’s policies and other requirements. 8.2. The Subcontractor accepts and will follow and comply fully with and will assist the Company in complying fully with all the Client Terms and Conditions and associated documents (as referenced in Schedule F) in relation to itself and the Services or any work undertaken or actions taken pursuant to this Agreement and insofar as such terms and conditions are applicable to the Subcontractor and the Services and in addition to the other terms of this Agreement. 8.3. The Subcontractor will specifically assist the Company with its compliance with the Client Supply Partner Code of Conduct (“the Code”), namely by: 8.3.1. complying with the Code in spirit and letter; and 0.0.0. xx providing, in a timely way, any information required by the Code to be given by the Company in relation to its Subcontractors and Subcontractor Personnel; 8.4. The Subcontractor agrees to undertake due diligence and vetting of its Personnel in accordance with Good Industry Practice and to a standard that is in compliance with the Client’s Staff Vetting Procedure (see Schedule F). 8.5. The Subcontractor confirms its Compliance Level under the Code as at the Effective Date as set out in Schedule F, Part 3. 8.6. Notwithstanding Clause 3.2, where the Client Terms and Conditions are amended or updated at any time, the amended or updated version will apply to this Agreement provided the Company has informed the Subcontractor of the amendment or updating and provided a copy of such amendment or update. 8.7. The Subcontractor will ensure that all its employees, contractors, subcontractors, and Personnel generally are bound by and comply with the terms of this clause. 8.8. The Subcontractor acknowledges the right of the Client under the Contracts (Rights of Third Parties) Act, (or equivalent law in the Jurisdiction, if available) to: 8.8.1. enforce any of the obligations of the Subcontractor under this Agreement against the Subcontractor directly or indirectly; 8.8.2. exercise all rights of the Client in the Head Contract in relation to this Agreement; and 8.8.3.exercise all the rights of the Company set out in this Agreement.
Head Contract. The Consignor warrants: (a) it has, and will retain, a contract with its principal (in relation to the carriage of the Goods) which includes the Consignor’s standard conditions of carriage; (b) those standard conditions of carriage are expressed so as to provide the Consignor’s subcontractors with such exemption from liability for and in relation to carriage of the Goods as is permitted by law. The carrier hereby ratifies and accepts the benefit of such protection.

Head Contract. (a) The Subcontractor must indemnify the Contractor against all losses and liabilities arising from any conduct or omission by the Subcontractor which amounts to or results in default by the Contractor under the Head Contract or failure by the Contractor to perform and comply with the terms of the Head Contract, or the Contractor obtaining less than the best rights and best advantages under the Head Contract. (b) In any case where the rights of the Contractor are restricted (including, without limiting the generality of that expression, any restriction on rights to payment for work executed or loss or expense incurred or on rights to extension of time) or are defined in a way which is disadvantageous to the Contractor by a term of the Head Contract, the corresponding rights of the Subcontractor must be correspondingly restricted and defined. (c) In any case where the Contractor has, or may incur, a liability or obligation under a term of the Head Contract, the Subcontractor must have, or incur, a corresponding liability or obligation, in its performance of the Subcontract. (d) In any case where the Contractor will or might wish to give any notice, make any claim, avoid any obligation and/or take any other course or step under the Head Contract and/or otherwise, the Subcontractor must ensure that the Contractor is able to do so in good time and is completely informed in writing of all matters it might need to know for its purposes, including any relevant time constraints and without limiting the generality of the foregoing, the Subcontractor must do all things appropriate to enable the Contractor to notify and make any claims in respect of delay and/or variations. (e) This clause 26 must prevail over all other inconsistent provisions except in any circumstance where the inconsistent provision would be more advantageous to the Contractor. (f) Nothing in this clause 26 must oblige the Contractor to disclose the Subcontract Sum under the Head Contract or provisions indicating its components or other benefits to the Contractor.
Head Contract. 1.1 The Subcontractor acknowledges that: (a) it has received a copy of all parts of the Head Contract relevant to the Subcontract Works and to this deed and it has read and understood those; and (b) it is a subcontractor of the Head Contractor and is not a contractor of the Principal.
Head Contract. 2.1.1 The Subcontractor agrees to comply with all the provisions of the Head Contract that apply to the Subcontract Works, except as specifically varied by this Subcontract. All the powers and obligations of the Principal and Engineer, under the Head Contract, extend to this Subcontract and must be exercised by the Contractor. In the event of ambiguity or conflict, the terms of this Subcontract take precedence over the terms of the Head Contract.

Head Contract. 5.1 The Consultant acknowledges that under the Head Contract, the Company is required to ensure this Agreement adequately protects the interests of the Client and ensures compliance with the Client’s policies and other requirements. 5.2 The Consultant shall comply with all parts of the Head Contract that have relevance to and/or impact on the provision of the Services which are advised by the Company to the Consultant. The Consultant shall take such steps and give all reasonable assistance so as to enable the Company to comply with the relevant elements of the Head Contract so advised by the Company and the Company shall supply all relevant information about the terms of the Head Contract to enable the Consultant to comply with the obligations in this clause.
Head Contract. 5.1 This clause applies if the Company has entered into an agreement (Head Contract) with a third party (Head Contractor) for the supply of goods and/or services, including the Works. 5.2 If the Head Contract is ended for any reason, the Company may, by giving notice to the Subcontractor in writing, immediately end this agreement. 5.3 If this agreement is terminated under this clause, the Subcontractor is entitled to be paid for work done up to the time of termination but the Subcontractor is not entitled to make any other claim including, but not limited to, loss of profit or damages on the Company. 5.4 If the works under the Head Contract are suspended, the Company may, by giving notice to the Subcontractor either orally or in writing, suspend the Subcontractor from performing the Works. 5.5 If the Head Contractor, acting reasonably, does not allow the Subcontractor to undertake the Works on the Site, this agreement is immediately terminated without any liability to the Company.
