Health Service Act Issues. Notwithstanding the foregoing, if at any time the Company determines, in its sole discretion, that its payment of COBRA premiums on your behalf as provided above would result in the Company’s incurring costs or penalties under applicable law (including, without limitation, Section 2716 of the Public Health Service Act), then in lieu of paying such COBRA premiums on your behalf, the Company will pay you on the last day of each remaining month of the time period for COBRA payments provided above, a cash payment which shall be in the net amount that is equal to the COBRA premium for that month, subject to applicable tax withholding.
