High Definition. 3.5.1 Unless otherwise authorized by Licensor in writing, Licensee shall distribute the Included Programs in Standard Definition resolution. Licensor may, in its sole discretion, authorize Licensee to distribute specific Included Programs in High Definition resolution by providing Licensee with written notice of which Included Programs are available for distribution in High Definition (which notice may be given in the Current Avail Notice or Library Avail List, as applicable, for such Included Program).

High Definition. The parties agree that, unless otherwise authorized by Licensor in writing, Licensee shall distribute the VOD Included Programs on a VOD basis pursuant to the Agreement in Standard Definition resolution. Licensor may, in its sole discretion, authorize Licensee to distribute specific Current Features and Library Features in High Definition resolution on a VOD basis by providing Licensee with written notice of which Current Features or Library Features are available to Licensee for distribution in High Definition on a VOD basis pursuant to this Agreement.
High Definition. The parties agree that, unless otherwise authorized by Licensor in writing, Licensee shall distribute the DHE Included Programs on a DHE basis pursuant to the Agreement solely in Standard Definition resolution. Licensor may, in its sole discretion, authorize Licensee to distribute specific DHE Included Programs in High Definition resolution on a DHE basis by providing Licensee with written notice of which DHE Included Programs are available to Licensee for distribution in High Definition on a DHE basis pursuant to this Agreement.
High Definition. In the first sentence of Section 2.1 of the General Terms, the words “High Definition (except for Portable Devices) and” are added before the words “in Standard Definition”; provided that, for the avoidance of doubt, High Definition Included Programs shall be, at all times during the Term, subject to the content protection requirements as set forth in the Agreement, as amended by this Amendment.
High Definition. Licensor will provide Licensee with written notice (in the applicable availability list or otherwise) of which Programs are available for exhibition in High Definition on the Free/Basic TV Licensed Services and/or the SVOD Standalone Licensed Services (as applicable), it being acknowledged and agreed that such notices shall not be construed to mean the SVOD Enhancement Licensed Services or the Simulcast Licensed Services may exhibit such Programs in High Definition. Licensee shall not exhibit a version of the Program that has been upconverted but may downconvert a Program from High Definition materials solely for exhibition of such Program in Standard Definition in accordance with the terms of this Agreement, provided that Licensee shall maintain the aspect ratio of such High Definition materials and shall not promote such Standard Definition exhibition as being in High Definition. For the purpose of calculating the Maximum Permitted Number of Exhibitions for each Program, High Definition and Standard Definitions versions of the same Free/Basic TV Licensed Service shall constitute a single Free/Basic TV Licensed Service only to the extent both versions contain substantially similar, simultaneous programming.
High Definition. Licensee shall not exhibit a version of a Program episode that has been upconverted but may downconvert a Program episode from High Definition materials solely for exhibition of such Program episode in Standard Definition in accordance with the terms of this Agreement, provided that Licensee shall maintain the aspect ratio of such High Definition materials and shall not promote such Standard Definition exhibition as being in High Definition. For the purpose of calculating the Maximum Permitted Number of Exhibitions for each Program, High Definition and Standard Definitions versions of the same Free/Basic TV Licensed Service shall constitute a single Free/Basic TV Licensed Service only to the extent both versions contain substantially similar, simultaneous programming.
High Definition. (i) Within one hundred and twenty (120) days after the Effective Date, unless delayed by events out of Grantee’s reasonable control, the Grantee shall convert the Commission’s area-wide PEG Access Channel (i.e. the Channel that is not “narrowcast” to each member city pursuant to Section 4.2(c)) to high definition (“HD”) provided that the programming signals are provided to the Grantee in HD and meet Grantee’s technical specifications for HD channels. Thereafter, at such time as Grantee makes at least 90% of all non-PEG Channels available in HD, the Grantee shall also convert the “narrowcast” PEG Access Channel to HD provided that the programming signals are provided to the Grantee in HD and meet Xxxxxxx’s technical specifications for HD channels. The City understands that, although the Grantee must ensure that the PEG Access Channels are cablecast on the Basic Cable Service tier and available to all Subscribers at no additional charge, the HD PEG Access Channel will not be located on the Basic Cable tier, the signal from the HD PEG Access Channels may not be available in HD on the Basic Cable tier of service, and Grantee shall have no obligation to carry PEG Access Channels in more than one format; i.e. dual carriage. Grantee’s costs to purchase equipment to convert and distribute programming on the PEG Access Channels in HD will be reimbursed by the City or Commission in an aggregate amount not to exceed Seven Thousand Five Hundred Dollars ($7500.00) within sixty (60) days of receipt of invoices evidencing Xxxxxxx’s expenditures.

Without limiting the content protection requirements and obligations set forth in the Principal Terms and Schedule A, Licensee’s exhibition of Programs on the Free/Basic TV Licensed Services and Simulcast Licensed Services shall comply with the TV and Simulcast Content Protection Requirements and Obligations set forth in Schedule C, and Licensee’s exhibition of the Programs on the Catch-Up Licensed Services shall comply with the FOD/SVOD Content Protection Requirements and Obligations set forth in Schedule D and the Usage Rules set forth in Schedule E.
High Definition. Licensor authorizes Licensee to exhibit the Included Programs in High Definition resolution, to the extent available from Licensor in High Definition resolution.4
High Definition. Solely for the Authorized TV Services and the SVOD Standalone Service, Licensor may authorize Licensee to exhibit certain Programs in High Definition resolution by providing Licensee with written notice (in the applicable availability list or otherwise) of which Programs are available for exhibition in High Definition. For the avoidance of doubt, the following are available in High Definition: (a) First Run Features, (b) The Hatfields and the McCoys, (c) Justified, (d) Xxxxxx and Xxxxx and (e) Drop Dead Diva. Unless otherwise authorized by Licensor in writing, Licensee shall exhibit all other Programs in Standard Definition resolution only on all services (i.e., including the Authorized TV Services and the SVOD Standalone Service).
