HL-2 Laser Systems. (a) Novadaq’s payment to PLC for each HL-2 Laser System sold by Novadaq shall be the greater of (i) [**] dollars ($[**]), or (ii) [**] percent ([**]%) of the sum of (1) the actual price paid by the customer/end user of the applicable HL-2 Laser System sold by Novadaq (which amount is deemed to include the warehousing fees at PLC’s facility) and (2) the aggregate Usage Premiums received by Xxxxxxx or Novadaq prior to the point of sale (if any) without deducting any portion thereof paid to PLC pursuant to Section 7.3(e) (the “HL-2 Purchase Price”). (b) PLC shall xxxx Novadaq and Novadaq shall pay for each HL-2 Laser System purchased on a preliminary basis the sum of [**] dollars ($[**]). (c) The difference between (i) the sum of (A) the preliminary amount billed during a calendar quarter in accordance with Section 7.3(b) and (B) the portion of the Usage Premiums already paid to PLC pursuant to Section 7.3(e), and (ii) the actual amount owed in accordance with Section 7.3(a) shall be paid by Novadaq to PLC, as the case may be, within thirty (30) days of the end of the month in which the applicable HL-2 Laser System is sold by Novadaq. (d) Within fifteen (15) days of the end of each calendar month, Novadaq shall provide to PLC a written report showing, for the month immediately preceding the report, Novadaq’s sales of the Products, including the name of the customer, the date of the shipment, the price of the Product and the allocation of the price between Novadaq and PLC. Novadaq shall maintain for at least two years its records, contracts and accounts relating to sales of the Products, and shall permit examination thereof by authorized representatives of PLC at all reasonable times. (e) Novadaq shall retain the Usage Premiums it receives from each HL-2 Laser System that is or was placed or sold at any time prior to the Effective Date or during the term of this Agreement, until the aggregate Usage Premiums received by Xxxxxxx or Novadaq with respect to each such HL-2 Laser System equals [**] dollars ($[**]). Thereafter (i.e., after the $[**] has been recovered by Xxxxxxx or Novadaq), Novadaq shall pay to PLC [**] percent ([**]%) of any such Usage Premiums received. PLC and Novadaq agree to periodically review in good faith the HL-2 Laser Purchase Price and to make adjustments, subject to their mutual agreement, to the HL-2 Purchase Price due to inflation, change in product cost and/or other market or competitive conditions. HL-2 Laser Systems. Subject to any adjustment provided herein, Exxxxxx shall purchase the HL-2 Laser Systems from PLC for $[**] per unit, which amount includes warehousing fees at PLC’s facility (the “HL-2 Purchase Price”). In addition, Exxxxxx shall pay PLC [**]% of the amount the HL-2 Laser System end user price exceeds the HL-2 Purchase Price for each such HL-2 Laser System sold. Exxxxxx shall retain the Usage Premiums it receives from each HL-2 Laser System that is placed until the aggregate Usage Premiums received with respect to such HL-2 Laser System equals the [**]. Thereafter, Exxxxxx shall pay PLC [**]% of such Usage Premiums. PLC and Exxxxxx agree to periodically review in good faith the HL-2 Laser Purchase Price and to make adjustments, subject to their mutual agreement, to the HL-2 Purchase Price due to inflation, change in product cost and/or other market or competitive conditions. Exxxxxx shall pay PLC within [**] days of the sale the amount set forth in the column titled “Protection” specified in Schedule 7.3 for each such HL-2 Laser System that is sold to a customer listed on Schedule 7.3 within three months of Effective Date of this Agreement.

  • Access Toll Connecting Trunk Group Architecture 9.2.1 If CSTC chooses to subtend a Verizon access Tandem, CSTC’s NPA/NXX must be assigned by CSTC to subtend the same Verizon access Tandem that a Verizon NPA/NXX serving the same Rate Center Area subtends as identified in the LERG. 9.2.2 CSTC shall establish Access Toll Connecting Trunks pursuant to applicable access Tariffs by which it will provide Switched Exchange Access Services to Interexchange Carriers to enable such Interexchange Carriers to originate and terminate traffic to and from CSTC’s Customers. 9.2.3 The Access Toll Connecting Trunks shall be two-way trunks. Such trunks shall connect the End Office CSTC utilizes to provide Telephone Exchange Service and Switched Exchange Access to its Customers in a given LATA to the access Tandem(s) Verizon utilizes to provide Exchange Access in such LATA. 9.2.4 Access Toll Connecting Trunks shall be used solely for the transmission and routing of Exchange Access to allow CSTC’s Customers to connect to or be connected to the interexchange trunks of any Interexchange Carrier which is connected to a Verizon access Tandem.

  • Technology Upgrades Notwithstanding any other provision of this Agreement, Verizon shall have the right to deploy, upgrade, migrate and maintain its network at its discretion. The Parties acknowledge that Verizon, at its election, may deploy fiber throughout its network and that such fiber deployment may inhibit or facilitate PNG’s ability to provide service using certain technologies. Nothing in this Agreement shall limit Verizon's ability to modify its network through the incorporation of new equipment or software or otherwise. PNG shall be solely responsible for the cost and activities associated with accommodating such changes in its own network.

  • Innovative Scheduling Schedules which are inconsistent with the Collective Agreement provisions may be developed in order to improve quality of working life, support continuity of resident care, ensure adequate staffing resources, and support cost-efficiency. The parties agree that such innovative schedules may be determined locally by the Home and the Union subject to the following principles: (a) Such schedules shall be established by mutual agreement of the Home and the Union; (b) These schedules may pertain to full-time and/or part-time employees; (c) The introduction of such schedules and trial periods, if any, shall be determined by the local parties. Such schedules may be discontinued by either party with notice as determined through local negotiations; (d) Upon written agreement of the Home and the Union, the parties may agree to amend collective agreement provisions to accommodate any innovative unit schedules; (e) It is understood and agreed that these arrangements are based on individual circumstances and each agreement is made on a without prejudice or precedent basis. (f) It is understood and agreed that these arrangements can be utilized for temporary job postings for seasonal coverage (e.g. weekend workers, etc.).

  • Network Interconnection Architecture Each Party will plan, design, construct and maintain the facilities within their respective systems as are necessary and proper for the provision of traffic covered by this Agreement. These facilities include but are not limited to, a sufficient number of trunks to the point of interconnection with the tandem company, and sufficient interoffice and interexchange facilities and trunks between its own central offices to adequately handle traffic between all central offices within the service areas at a P.01 grade of service or better. The provisioning and engineering of such services and facilities will comply with generally accepted industry methods and practices, and will observe the rules and regulations of the lawfully established tariffs applicable to the services provided.

  • Drainage Systems (1) Clear culvert inlets, outlets, and sediment catching basins. (2) Maintain waterbars, drainage dips, and other water diversion measures. (3) During active use, patrol and maintain functional drainage. (4) Repair damaged culvert ends.

  • Infrastructure Infrastructure serves as the foundation and building blocks of an integrated IT solution. It is the hardware which supports Application Services (C.3.2) and IT Management Services (C.3.3); the software and services which enable that hardware to function; and the hardware, software, and services which allow for secure communication and interoperability between all business and application service components. Infrastructure services facilitate the development and maintenance of critical IT infrastructures required to support Federal government business operations. This section includes the technical framework components that make up integrated IT solutions. One or any combination of these components may be used to deliver IT solutions intended to perform a wide array of functions which allow agencies to deliver services to their customers (or users), whether internal or external, in an efficient and effective manner. Infrastructure includes hardware, software, licensing, technical support, and warranty services from third party sources, as well as technological refreshment and enhancements for that hardware and software. This section is aligned with the FEA/DoDEA Technical Reference Model (TRM) which describes these components using a vocabulary that is common throughout the entire Federal government. A detailed review of the TRM is provided in Section J, Attachment 5. Infrastructure includes complete life cycle support for all hardware, software, and services represented above, including planning, analysis, research and development, design, development, integration and testing, implementation, operations and maintenance, information assurance, and final disposition of these components. The services also include administration and help desk functions necessary to support the IT infrastructure (e.g., desktop support, network administration). Infrastructure components of an integrated IT solution can be categorized as follows:

  • Fabrication Making up data or results and recording or reporting them.

  • Installation Services The Bitstream 2a Service includes a Standard Install as set out below (in each case to the extent that the relevant provisioning works are not already complete for the relevant Service Order).1

  • Computer Systems (a) Servicer to operate systems (b) Servicer to maintain back-up facilities (c) Servicer to notify location of computer tapes

  • Year 2000 Compatibility Take all action necessary to assure that its computer based systems are able to operate and effectively process data including dates on and after January 1, 2000, and, at the reasonable request of the Administrative Agent or the Required Lenders, provide evidence to the Lenders of such year 2000 compatibility.
