Holder to be Notified. Developer will insert each term contained in this Article 9 into each Security Financing Interest to the extent deemed necessary by, and in form and substance reasonably satisfactorily to the County, or will procure acknowledgement of such terms by each prospective holder of a Security Financing Interest prior to its coming into any security right or interest in the Property or portion thereof.

Developer agrees to use best efforts to ensure that each term contained herein dealing with security financing and rights of holders shall be either inserted into the relevant deed of trust or mortgage or acknowledged and accepted in writing by the holder prior to its creating any security right or interest in the Subject Property or the Improvements.

Prior to or concurrently with the closing, the City and TFSB will execute an estoppel certificate in which TFSB will acknowledge acceptance of the terms of Article 8.
