Holding Periods. 20.1. Anyone acquiring company securities directly or indirectly from the company in a transaction that was not registered with the SEC under the 1933 Act must hold these securities for at least one year before reselling them. There is no statutory minimum holding period for securities previously registered under the 1933 Act.
20.2. Penalties for Violating Securities Law and Company Policy
20.3. Securities law violations can carry severe and expensive civil penalties for both the company and any individual directors, officers and employees who willfully violate securities laws. Individuals may also be liable for criminal penalties up to a maximum of $1 million and ten years in prison. A director may be forced to resign. Officers and employees may be subject to disciplinary action, including termination.
Holding Periods. Pledgor will promptly furnish to Pledgee such information as Pledgee deems necessary to comply with Securities Laws as to the holding and disposition of any Pledged Securities, and to determine the status of the Pledged Securities under Securities Laws, all in form satisfactory to Pledgee and at Pledgor's expense. (g) Material Misstatement or Omission. To the actual, present knowledge of Pledgor, the representations and warranties expressly set forth in this section 6 above do not contain any material misstatement of fact nor omit to state a material fact (i) necessary to prevent such representations and warranties from being misleading, in any material respect, and (ii) which may, in the ordinary course, prevent the Pledgee from realizing and exercising the benefits, rights and remedies afforded to Pledgee under the Loan Documents.
Holding Periods. Purchaser is solely responsible (and not Company) for compliance with all applicable hold periods and resale restrictions to which Securities are subject.

Without giving prior written notice to Optionor, addressed to the Chief Financial Officer or Secretary of Optionor, of his intent to dispose of such Shares within such periods, Optionee will not dispose of any Shares acquired pursuant to an exercise of this Option until a date which is at least two (2) years from the date of Grant and at least one (1) year after the Date of exercise.

Whether during the term of the Facility or subsequent to the termination thereof, the Provider shall not be permitted to tender unremarketed Bonds to the issuer and shall be required to hold such Bonds for the periods and in accordance with the conditions set forth above (except that no holding period is required in the event of a termination of the Facility pursuant to 4(a) hereof). Financial Guaranty shall pay only principal and interest on the Bonds as scheduled, in accordance with the terms of the Policy, unless Financial Guaranty has provided, at the request of the Provider, an endorsement to its Policy to cover a special mandatory redemption under the authorizing document.
