WAM!NET will also pay for storage of Sparks' personal household goods for up to 90 days and delivery out of storage. Home sale Assistance - Guaranteed Buy-Out. Listing, marketing, home sale and ----------------------------------------- closing assistance for Sparks' current home will be provided by Edina Realty Relocation Services/American Escrow and Closing at WAM!NET'S expense. The Guaranteed Buy-Out will be at a purchase price based upon the average of two independent fee appraisals ordered by American Escrow and Closing. If the appraisals are not within 5% of each other, a third appraisal will be ordered and the purchase price will be determined by averaging the two closest appraisals. Upon determination of the purchase price American Escrow and Closing will prepare a contract to purchase the property for the purchase price. From the date of the contract Sparks will have 120 days in which to sell the house to a third party and during which time Sparks will be responsible for all home related expenses. Sparks agrees that the listing and marketing of the house during the 120 day period shall be coordinated through Edina Realty Relocation Services. If such sale does not take place within the 120 day period the home will be purchased by American Escrow and Closing at the purchase price listed in the contract. The Guaranteed Buy-Out is subject to a satisfactory home inspection and to the house being available for showings. Any work orders or repairs mandated by the inspection are to be made at Sparks' expense. The costs of any such work orders or repairs not made prior to the sale to American Escrow and Closing shall be deducted from the purchase price. Temporary Living Expenses. Home Seeking Expenses. Household Goods Shipment. Executive shall receive reimbursement for up to $40,000 for the shipment of household goods from Florence, Italy to New York. To the extent any portion of the $40,000 is taxable to Executive, the Company will provide Executive with a full gross-up for any ordinary income and employment taxes incurred by Executive with respect to such portion. EXHIBIT C Form of Release This Agreement and Release (“Agreement”) is made by and among Alphabet Holding Company, Inc., a Delaware corporation (“Parent”), Parent’s wholly-owned subsidiary, NBTY, Inc., a Delaware corporation (together with any successor thereto, the “Company”), and Xxxxxxx Xxxxx (the “Employee”) (collectively, referred to as the “Parties” or individually referred to as a “Party”). Household Goods Shipment. You will be allowed shipment of personal items shipped according to the International Transfer Policy pre and post assignment. The household goods forwarder will be selected by ev3. You will also be reimbursed for fees and expenses related to transportation of your pets to Paris, France. As per tax equalization policy, to the extent any of these amounts are taxable to you, ev3 will pay all taxes owed on such amounts.
Household Goods Shipment. Air shipment and sea shipment We will provide air shipment for you, your spouse and children up to 20Kg per person. This will allow you to get settled-in prior to unpacking your sea shipment. We will also provide a sea (surface) shipment for you, your spouse and children. You will be allowed to ship personal and household goods in a 20 foot container by sea shipment (e.g. ocean freight), in total. The surface shipment shall be handled by a carrier selected by Xxxxx, and costs supported include: • Costs of shipment and storage including packing, moving to storage, temporary storage (if necessary), transporting, unloading, unpacking, etc. • Costs of insurance for all shipped and stored items at replacement cost. Temporary storage (if necessary prior to surface shipment) is not to exceed 30 days. Normal duties and/or taxes for personal items shipped internationally will be paid by Xxxxx. Any duties and/or taxes on personal items shipped that have special duties and/or taxes (expensive furs, clothing, trademark items, cameras, stereo equipment, artwork, etc.) will be your responsibility. In the event you incur costs above the authorized weight limits (or the maximum air shipment cost equivalence for split shipments); the shipping company will xxxx you directly for the excess costs. Xxxxx does not allow the shipment of vehicles, shop tools, pianos, antiques/jewelry, collector’s items, weapons, alcohol, artwork. If you elect to ship any items not covered by Xxxxx, you will do so at your own risk and expense. Additionally Xxxxx will not reimburse or pay directly for the shipment, kenneling, physical examination or quarantining of pets or live animals during the assignment. Should the assignee choose to bring household pets to his/her assignment location, he/she is strongly encouraged to familiarize him/her with custom and quarantine requirements, and other rules for bringing animals into the host country. The assignee should also consider the limitations this will have on his/her housing selections. These policies will apply to transfers to another host county and repatriation of the assignee to the home country.
