HSR Waiting Period. The waiting period applicable to the consummation of the Merger under the HSR Act shall have expired or been terminated.

HSR Waiting Period. The obligations of each of the Company and the Purchasers to consummate the transactions contemplated herein are subject to the condition of the expiration or early termination of the application waiting periods under the HSR.
HSR Waiting Period. The waiting period applicable to the consummation of the transactions contemplated by this Agreement (and any extension thereof) under the HSR Act shall have expired or been terminated, and there shall not be in effect any agreement between the Parties and the Federal Trade Commission, the United States Department of Justice Antitrust Division, or any other Governmental Authority pursuant to which the Parties have agreed not to consummate the transactions contemplated by this Agreement for any period of time.
