Common use of Incumbency Clause in Contracts

Incumbency. Seller shall have received a certificate of incumbency of ---------- Purchaser executed by the Secretary or Assistant Secretary of Purchaser listing the officers of Purchaser authorized to execute this Agreement and the other Acquisition Documents to which Purchaser is a party and the instruments of assumption on behalf of Purchaser and certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Purchaser in connection with the consummation of the transactions contemplated herein.

Incumbency. Seller Purchaser shall have received a certificate of incumbency of ---------- Purchaser Seller executed by the Secretary or Assistant President and Secretary of Purchaser Seller listing the officers of Purchaser Seller authorized to execute this the Agreement and the other Acquisition Documents to which Purchaser is a party and the instruments of assumption transfer and conveyance on behalf of Purchaser and Seller, certifying the authority of each such officer to execute the agreements, documents, and instruments on behalf of Purchaser Seller in connection with the consummation of the transactions contemplated herein.
