Common use of INDEBTEDNESS AND OBLIGATIONS GUARANTEED Clause in Contracts

INDEBTEDNESS AND OBLIGATIONS GUARANTEED. The Guarantors hereby jointly and severally, absolutely, irrevocably and unconditionally guarantee the payment of the Indebtedness and the observance and performance of the Obligations. In connection therewith, the Guarantors will pay to the Banks and the Agents, on demand, all of the Expenses, and will indemnify and hold the Banks and the Agents harmless from and against any loss, cost, liability or expense which the Banks and/or the Agents may sustain or incur by reason of the failure of the Borrower to pay all of the Indebtedness or to observe and perform all of the Obligations.
