Indemnification by Telenetics. Telenetics shall indemnify, defend, ----------------------------- protect and hold harmless each Seller and such Seller's respective heirs, successors and assigns (each a "Seller Indemnified Party"), at all times from ------------------------ and after the date of this Agreement against all Losses based upon, resulting from or arising out of (i) any inaccuracy or breach of any representation, or warranty of Telenetics contained in or made in connection with this Agreement, and (ii) the breach by Telenetics of, or the failure by Telenetics to observe, any of its covenants or other agreements contained in or made in connection with this Agreement.
