INDEPENDENT CONTRACTOR AND SUBCONTRACTING. A. HNS and Customer will be and shall act as independent contractors, and neither party is authorized to act as an agent or partner of, or joint venturer with, the other party for any purpose. Neither party by virtue of this Agreement shall have any right, power, or authority to act or create any obligation, express or implied, on behalf of the other party. Customer acknowledges and agrees that HNS will be solely responsible to determine the method and manner of performing its obligations hereunder.

INDEPENDENT CONTRACTOR AND SUBCONTRACTING. (a) Contractor agrees that it is an independent contractor and shall be at all times solely responsible for itself, as well as its employees, agents and Subcontractors as to workmanship, accidents, injuries, wages, supervision and control. Owner and its Representatives may visit the NRG Site (or any other site where the Work is being performed, regardless of the location) during normal hours of work at the site to observe the Work and monitor quality, compliance with this Agreement and other aspects of the Work in order to keep Owner informed as to the progress thereof only, but Owner will not be deemed responsible for the same or deemed to identify or waive any defects. Owner shall provide Contractor one (1) Business Day’s advance notice of any visit to observe the Work except in cases of emergency when no advance notice is required; provided that Owner’s rights in this Section 9(a) shall be in addition to Owner’s rights to visit the NRG Site pursuant to the Lease Agreement and, when effective, the O&M Agreement. Owner and its Representatives shall be entitled to be present at any Performance Test conducted under this Agreement; provided, that Owner shall be responsible for all costs, expenses and fees payable or reimbursable to any of its Representatives. This Agreement may not be altered in any manner so as to change the relationship of Contractor under this Agreement from that of independent contractor.

  • Independent Contractor; Authority Notwithstanding the Services provided by the Administrator pursuant to this Agreement, the Administrator shall be deemed to be an independent contractor with respect to the Services. The management, policies and operations of the Parties (including the ultimate approval of the making or disposition of the Painting by the Issuer or Masterworks Cayman, and the terms and conditions thereof) shall be the responsibility of the Parties other than the Administrator.

  • Independent Contractor Status The Sub-Adviser shall for all purposes hereof be deemed to be an independent contractor and shall, unless otherwise provided or authorized, have no authority to act for or represent the Trust or the Advisers in any way or otherwise be deemed an agent of the Fund or the Advisers.

  • Independent Contractor Benefits It is the express intention of the Company and Consultant that Consultant performs the Services as an independent contractor. The parties acknowledge and agree that this Agreement does not create a fiduciary relationship between them, that Developer shall be an independent contractor and that nothing in this Agreement is intended to constitute either party an agent, legal representative, subsidiary, Affiliate, joint venturer, partner, employee, joint employer or servant of the other for any purpose.

  • Subcontractors The Contractor will not subcontract any work under the Contract without prior written consent of the Department. The Contractor is fully responsible for satisfactory completion of all its subcontracted work.   • Sub-contractors Transfer Agent may, without further consent on the part of Customer, subcontract with other subcontractors for telephone and mailing services as may be required from time to time; provided, however, that the Transfer Agent shall be as fully responsible to the Customer for the acts and omissions of any subcontractor as it is for its own acts and omissions.
