INDEPENDENT CONTRACTS. The Consultant shall at all times be an independent contractor and shall not at any time be or be deemed to be an employee of the Company. The Consultant acknowledges that he is not an employee of the Company and that the execution of this Agreement shall not give rise to any employment with the Company.

INDEPENDENT CONTRACTS. Each party shall act as an independent contractor hereunder, with sole responsibility for its own operations, personnel and operating expenses, and nothing contained in this Agreement shall be construed to create a partnership or joint venture between parties.

INDEPENDENT CONTRACTS. Each fully executed SOC and PO, together with this Agreement incorporated therein, is enforceable in accordance with its terms and shall create a separate contract between the Authorized Purchaser and Contractor.

INDEPENDENT CONTRACTS. BD and its Representatives , and Associated Insurance Agency and its Agents, are independent contractors with respect to Glenbrook Life and ALFS.

INDEPENDENT CONTRACTS. The Government may award or has awarded other support contracts for installation operations support services. These support contracts will be awarded independently from this PWS. The Government may also enter into an Intergovernmental Support Agreement (IGSA) with Picatinny Arsenal surrounding municipalities. Initial coordination required among the Contractor, Contractors performing other contracts or under IGSAs and this PWS will be made by the Government. The KO may provide additional direction regarding interfaces with other Contractors. The Contractor shall refer unresolved disputes with other Contractors to the KO within two (2) hours from the time the dispute occurs.

INDEPENDENT CONTRACTS. Nothing herein shall be construed to create any relationship of employer and employee, agent and principal, partnership or joint venture between the Parties. Each Party is an independent contractor. Neither Party shall have authority to make any statements, representations, or commitments of any kind, or to take any action which shall be binding on the other Party, except as may be explicitly provided for herein or otherwise authorised in writing. INDEPENDENT CONTRACTS. The parties to this Agreement are independent contractors with respect to each other, and nothing contained herein will be construed to create a relationship of an employer-employee, joint venture, partnership, or association between the Parties.

INDEPENDENT CONTRACTS. The relationship of LookSmart and GRC --------------------- established by this Agreement is that of independent contractors, and neither party is an employee, agent, partner or joint venturer of the other. All financial obligations associated with GRC's business are the sole responsibility of GRC, and all financial obligations associated with LookSmart's business are the sole responsibility of LookSmart.
